Shipping Informa on and Op ons Third Party Dedicated Contract Carrier All smoker deliveries by Third Party Dedicated Contract Carrier to include delivery to specific “ship to” address. Freight charges will be prepaid and added. Smoker(s) will be unloaded at curbside and permanent legs installed. Delivery charges based on loaded one way mileage to customer loca on from Southern Pride’s factory in Alamo, TN. Due to con nued fluctua on of fuel prices, you must call the factory for a delivery quote. Customer will be charged a rate of $75.00 per hour (in 15 minute increments ) for Contract Driver’s services that extend beyond a two hour delivery period. Customer is responsible for receiving the smoker, handling beyond curbside and gas, electric and ven ng installa on / connec‐ on.
Common Carrier Unless otherwise stated, Southern Pride will assign a freight company to deliver to specific “ship to” address. Freight charges will be prepaid and added. Customer is responsible for receiving, unloading and se ng the smoker in place and for gas, electric, and ven ng installa on / connec on.
Customer Arranged Freight Customer would be responsible for making all arrangements for a freight company to pick the smoker up at Southern Pride’s facto‐ ry in Alamo, TN and for all freight charges. A cra ng charge will be added. (See price list for cra ng charge for specific model.) Customer is responsible for receiving and unloading the smoker and for gas, electric, and ven ng installa on / connec on.
Customer pick up at Southern Pride Factory in Alamo, TN Southern Pride will set the smoker on customer’s trailer only. It is the customer’s responsibility to secure the smoker on their trail‐ er. Any addi onal services provided by Southern Pride would be charged at a rate of $75.00 per man hour plus material. Customer is responsible for any freight damage, unloading, se ng the smoker in place and for gas, electric, and ven ng installa on / con‐ nec on. * Southern Pride recommends smokers be secured to transporter with chains & booms (binders). NO ratchet straps. NO chains or straps over the top of Smoker.
Li Gate Delivery Li gate delivery is available only for models SC‐200, DH‐65, and SRG‐400 and must be requested when order is placed. A $52.00 fee is applied to all li gate orders.

Expedite Program Southern Pride projects a 6 to 8 week lead me throughout the year. Due to demand fluctua ons, the lead me could poten ally extend beyond 8 weeks. To assist customers that need equipment sooner than our standard lead me allows, we offer the follow‐ ing expedite program. Gas Smokers Each gas smoker can be expedited by reducing the lead me in weekly increments. The first week’s reduc on is $500 and each addi onal week is $250. The minimum lead me from order date to ship date is four to five weeks depending on previous produc‐ on commitments. Please call Southern Pride for the earliest available ship date. Electric Smokers Each electric smoker can be expedited by reducing the lead me in weekly increments. The first week’s reduc on is $250 and each addi onal week is $125. The minimum lead me from order date to ship date is four to five weeks depending on previous produc‐ on commitments. Please call Southern Pride for the earliest available ship date. Condi ons Southern Pride reserves the right to deny or restrict the expedite of any and all orders. The expedite request must be made at the me of original order submission. The labor warranty, provided only in the U.S.A., remains in effect one (1) year from installa on or fi een (15) months from the shipping date, whichever occurs first. The parts warranty remains in effect for one (1) year from installa on or fi een (15) months from the shipping date, whichever occurs first. All warranty parts ship via standard ground delivery service.
IV. LIMITATION OF LIABILITY: SELLER WILL NOT BE LIABLE UNDER ANY CIRCUMSTANCES FOR ANY INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, INCLUDING WITHOUT LIMITATION ANY LOST PROFITS OR LABOR COSTS, ARISING FROM THE SALE, USE OR INSTALLATION OF THE PRODUCTS, FROM THE PRODUCTS BEING INCORPORATED INTO OR BECOMING A COMPONENT OF ANOTHER PRODUCT OR FROM ANY OTHER CAUSE WHATSOEVER, WHETHER BASED ON WARRANTY (EXPRESSED OR IMPLIED) OR OTHERWISE BASED ON CONTRACT, ON TORT OR ANY OTHER THEORY OF LIABILITY, AND REGARDLESS OF ANY ADVICE OR REPRESENTATIONS NOT IN WRITING THAT MAY HAVE BEEN RENDERED BY SELLER CONCERNING THE SALE, USE OR INSTALLATION OF THE PRODUCTS. In the event the above warranty fails to correct the purchaser’s problems caused by defects in workmanship and/or mate‐ rials, purchaser’s exclusive remedy shall be limited to payment by Southern Pride of actual damages in an amount not to exceed the amount paid for the product. V. DELAYS BEYOND THE CONTROL OF THE SELLER: Seller shall have no liability as a result of any delay or failure to manufacture, ship or deliver any Products to Customer if such delay or failure is directly or indirectly caused by fire, flood, strike, or other labor dispute, accident, inade‐ quate transporta on, shortage of labor, material or supplies, or due to regula ons, priori es or orders of any governmental authority or due to any other cause, whether or not similar to the foregoing, beyond the reasonable control of Seller. VI. CANCELLATION/CHANGE ORDERS: Seller must receive wri en no ‐ fica on of all cancella ons and changes on in‐house orders within 48 hours from date of order acknowledgment. Customer will be responsi‐ ble for outgoing and return freight charges on orders shipped prior to the receipt by Seller of a wri en no ce of cancella on or order change. Cancella on of Customer's order will be subject to Customer's payment of Seller's 20% cancella on charges, which shall include all reasonable costs incurred by Seller in preparing to meet Customer's an cipated delivery schedule, including without limita on commitments made by Seller to its suppliers, and the cost of inventory (raw materials, work‐in‐ process and finished goods) allocated to Customer's order. Change orders will be billed in fi een minute increments at a rate of $75.00 per hour for both administra ve and any applicable produc on labor re‐ quired to accommodate the change order, plus any applicable compo‐ nent part cost, any change to order will incur a minimum $50.00 pro‐ cessing fee.
The warranty does not cover the following: Improper installa on, delivery or maintenance. Failure of the Product if it is abused, misused, or used for other than the intended purpose. Products which are not defec ve or broken, or which are working as described in the Owner’s Manual. Damage to the Product caused by accident, fire, floods or acts of God. Damage caused by services performed by unauthorized service companies. Service calls to correct the installa on of your Product or to in‐ struct you how to use your Product. Expenses for making the Product accessible for servicing. Replacement of consumable parts; belts, gaskets, light bulbs, etc. (Con nued on next page) III. NO IMPLIED WARRANTY, REPRESENTATION OR CONDITION: To the extent permi ed by law, neither Southern Pride nor any company/ individual affiliated with it, makes any warran es, representa ons, condi ons or promises express or implied as to the quality, perfor‐ mance or freedom from defect of the Products covered by these war‐ ran es other than those set forth above, and NO STATUTORY OR IM‐ PLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY OR APPLI‐ CABLE PERIOD OF WARRANTY SET FORTH ON THIS PAGE. THE PUR‐ CHASER’S ONLY REMEDIES IN CONNECTION WITH THE BREACH OR PER‐ FORMANCE OF ANY WARRANTY ON THE PRODUCTS ARE THOSE SET FORTH ON THIS PAGE. IN NO EVENT WILL SOUTHERN PRIDE OR ANY COMPANY/INDIVIDUAL AFFILIATED WITH IT BE LIABLE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. In no event shall Sothern Pride be liable for loss of use, loss of revenue or profit, or loss of product, or for any indirect, incidental or consequen al damages.

Sales Terms and Condi ons (con nued) VII. SHIPMENT AND RETURNS: Seller reserves the right to select the manner and route of shipment unless at least 5 days prior to shipment Customer furnishes exact shipping instruc ons. Any Products which are not shipped as scheduled on account of Customer will be held at the sole risk and expense of Customer. All shipments for domes c sales (i.e., when the des na on is within the United States) shall be F.O.B., point of shipment (within the meaning of the Uniform Commercial Code) and for export sales shall be Ex‐Works, Seller's plant in Alamo, Tennessee, U.S.A. (within the meaning of INCOTERMS 2010), unless otherwise stated on the face of the Southern Pride Distribu ng ac‐ knowledgment. Prices are quoted based on these F.O.B. or Ex‐Works terms, as applicable, unless otherwise specified. Prices include skidding, cra ng or boxing unless otherwise noted. Export processing and boxing for overseas shipment are at addi onal cost, as separately quoted. Cus‐ tomer agrees to assure all risks of loss or damage to the Products while being transported or enroute to truck or railroad, airway or other carri‐ er direct to Customer. It is agreed that the carrier is to be the purchas‐ er's agent for all purposes. Therefore, Customer must file claims for loss or damage directly with the carrier. Seller's responsibility ceases upon delivery, in good order, to the carrier. No returns will be accepted on special or custom built equipment or parts, or on equipment or parts older than ninety (90) days from the original date of shipment. Wri en permission must be obtained from Seller before returning any Products, and any Products returned without such wri en authoriza on will be refused as "Returned Shipment Unauthorized." All returned Products are subject to a 20% restocking fee. VIII. FAIR LABOR STANDARDS ACT: Seller cer fies that all Products covered by this order have been manufactured in compliance with the Fair Labor Standards Act, as amended, and all other applicable govern‐ ment laws and regula ons. IX. EQUAL OPPORTUNITY/AFFIRMATIVE ACTION CLAUSES: Seller cer ‐ fies it is in compliance with Readjustment Assistance Act of 1974, as amended (38 USC 4212) and Sec on 503 of Rehabilita on Act of 1973, as amended. X. PRICE CHANGES: Seller reserves the right to raise the prices set forth herein in connec on with its adop on of a new price schedule or modi‐ fica on of an exis ng price schedule, provided such increase is general‐ ly applicable to Products of the kind covered hereby. Such revised pric‐ es shall be applicable hereunder on all shipments made on and a er the effec ve date of the price change. Customer may upon receipt of no ce of increase in prices of Products covered hereby, cancel that part of the order scheduled to be shipped within 4 weeks a er the price no fica on and which will be subject to such increased prices, by wri en no ce to Seller given within 7 days a er its receipt of such no‐ ce. XI. CREDIT AND TERMS: All prices are stated in and shall be payable in U.S. dollars. If domes c Customer's credit has been approved by Seller's credit department, terms of sale are 30% down, net 30 days from the date of invoice except where different terms are stated on the face hereof. If Customer's credit has not been so approved it will be required to make payment in advance, by wire transfer to Seller’s account. If Customer is new, credit approval will be expedited if Customer prompt‐ ly submits the names, address and phone numbers of at least three trade references and the name, address and phone numbers of Cus‐ tomer's bank. All Interna onal Customer accounts must be paid in full prior to shipment of Products.
XII. INFRINGEMENT: Seller at its own expense will defend and hold Customer harmless from and against all damages, costs and expenses arising from any valid claim of infringement of any patent, trademark registered design or other intellectual property rights caused by the Products originally manufactured by Seller, provided Customer (a) has not modified such Products, (b) gives Seller immediate no ce in wri ng of a claim or ins tu on or threat of suit, and (c) permits Seller to de‐ fend or se le the same, and gives all immediate informa on, assistance and authority to enable Seller to do so. XIII. F.O.B. OR EX‐WORKS: F.O.B. ALAMO, TN, UNLESS OTHERWISE STATED ON FACE OF DOCUMENT. XIV. WORK BY OTHERS; ACCESSORIES AND SAFETY DEVICES: Unless otherwise agreed in wri ng, Seller has no responsibility for labor or work of any nature rela ng to the opera on, use or installa on of the Products, all which will be performed by Customer or others. It is the responsibility of Customer to furnish such accessory and safety devices as may be desired by it and/or required by law. Customer shall require its employees to use all safety devices, guards and proper and safe op‐ era ng procedures to the extent set forth in operator and machine manuals and instruc on sheets furnished by Seller. Customer is respon‐ sible for consul ng any such manuals and instruc on sheets, applicable OSHA regula ons and other applicable sources. XV. GENERAL: (a) No modifica on or waiver of this agreement or any of its provisions is valid unless expressly agreed to by Seller in wri ng, and no waiver by Seller of any default under this agreement is a waiver of any other subsequent default; (b) no agreement is formed hereunder unless Customer's order is accepted by Seller in wri ng; (c) the unen‐ forceability or invalidity of one or more of the provisions of this agree‐ ment will not affect the enforceability or validity of any other provision of this agreement; (d) THE COMPLETE AGREEMENT BETWEEN SELLER AND CUSTOMER IS CONTAINED HEREIN AND NO ADDITIONAL OR DIF‐ FERENT TERMS OR CONDITIONS STATED BY CUSTOMER SHALL BE BIND‐ ING UNLESS AGREED TO BY SELLER IN WRITING; (e) no course of deal‐ ing, usage of trade or course of performance will be relevant to supple‐ ment or explain any terms used in this agreement; (I) Customer may not assign any of its rights, du es or obliga ons under this Agreement without Seller's prior wri en consent and any a empted assignment without such consent, even if by opera on of law, will be void; (g) this agreement is governed by and shall be construed in accordance with the internal laws of the State of Tennessee, including the Uniform Com‐ mercial Code as enacted by such state; provided, however, that the rights and obliga ons of the par es hereunder shall not be governed by the provisions of the 1980 United Na ons Conven on on Contracts for the Interna onal Sale of Goods; and (h) all export shipments hereunder are subject to compliance with the Export Administra on Act, as amended, and the regula ons thereunder, and all other U.S. laws and regula ons concerning exports. Customer agrees to comply with all such laws and regula ons concerning use, disposi on and sale of the Products. Southern Pride Distribu ng's management reserves the right to make final decisions on all order related policies and/or cancella on/ change fees and/or waivers. Final determina on of the decision rests with an officer of Southern Pride Distribu ng or the President of the Company.
