REQUEST FOR PROPOSAL OVERVIEW The City of Novato is seeking proposals for an upgrade of its City Council Chambers audio/visual equipment. This request for proposal (RFP) is intended to solicit proposals from qualified vendors to furnish, install, implement and configure certain elements of the City’s existing audio, video, communications equipment, broadcast and recording capabilities as described in Exhibit A. It is the City of Novato’s preference to have a single provider meet all of the requirements outlined in this RFP. All proposals must be submitted to the Administrative Services Department at 922 Machin Avenue, Novato CA 94945 by 5:00 pm on August 18, 2017. All proposals must be in the format specified, enclosed in a sealed envelope and clearly identified with bid title, name of vendor, and date of bid closure. Proposals will not be read publicly. The City’s goal is to complete the audio/visual upgrade project no later than December 31, 2017. CITY AND PROJECT BACKGROUND The City of Novato is the northernmost city in Marin County, California, and is located approximately 29 miles north of San Francisco and 37 miles northwest of Oakland. Novato covers 28 square miles and has an estimated population of 53,575 and 21,713 households. The City’s historic Presbyterian Church located at 901 Sherman Avenue was remodeled in 2010 to serve as the Council Chambers and public meeting space. The Council Chambers are used approximately 70 times per year to conduct, broadcast, record and archive public meetings conducted with its City Council, Planning Commission, other boards and commissions and City events. The facility is also available for use by private parties and community events. The City will administer the proposal process in accordance with the terms and dates outlined in this RFP; however, the City reserves the right to modify the activities, timeline, or any other aspect of the process at any time, to include cancellation of the RFP as it deems necessary. The City is in no way obligated to award a contract or pay the expenses incurred in connection with the preparation or submission of a proposal. The award of any contract shall be contingent on the requisite staff and Council approvals.

SECTION 1: CONTACT INFORMATION The RFP is available on the City of Novato website at novato.org/doingbusiness. Click the Listing of Advertised RFPs and RFQs link and follow the instructions. In order to be assured that all vendors receive any updates or clarifications issued, vendors must register at the link above as soon as possible and express interest in the RFP as a Prospective Bidder. You must add yourself as a Document Holder from the Prospective Proposers tab. Vendors are encouraged to review the complete RFP and submit any clarifying questions. SECTION 2: SUBMISSION REQUIREMENTS ANTICIPATED TIMELINE All proposal documents shall be submitted in a sealed package. Vendor’s name and address should be clearly marked on the outside of the envelope and included in the proposal submission. Proposal information that is not submitted as part of the sealed package will not be considered. Late submissions or proposals delivered via email, facsimile, or telephone will not be accepted or considered. A mandatory bidder’s conference and walkthrough is scheduled for August 2, 2017 beginning at 10:00 AM. The conference will be held in the Novato City Council Chambers located at 901 Sherman Avenue, Novato, California 94945. SECTION 3: EVALUATION OF PROPOSALS AND NEGOTIATIONS All proposals submitted will be reviewed by an evaluation panel consisting of City of Novato personnel. At the completion of the proposal review, the panel may invite vendor(s) to provide clarifying information to the City. The panel will select the vendor which best fulfills the City of Novato’s requirements and represents the best value to the City of Novato. No single factor will determine the final award decision. Determination of best value to the City shall be based upon, but not limited to, the following (in no particular order or weight): 3.1 Quality, clarity, and completeness of the total solution and its ability to meet the requirements of the RFP. 3.2 Experience and technical expertise of the staff implementing the solution. 3.3 Reputation and financial stability of the vendor responding to the RFP. 3.4 Economic feasibility and justification of all costs. 3.5 Successful experience with satisfied customers similar in size, scope and complexity to the City of Novato.

SECTION 4: PROPOSAL REQUIREMENTS The proposals shall be clear, concise, and to-the-point, and at a minimum include the following: 4.1 Proposer History. An overview outlining the history of the vendor showing its expertise in implementation and configuration of audio/visual equipment, adherence to project deadlines, and performing previously agreed upon work. 4.2 Similar Projects. A list of three recently completed projects of similar size, scope, and complexity. This list shall include the names of the organizations, project pricing, date of completion and client contact information, to include name, address, phone number and email address. 4.3 Proposal Cost. The full cost associated with the proposal including hardware, installation, implementation, training, and any other work. Include a cost breakdown of major components or milestones, and estimates of all other expenses and/or one-time fees that will be invoiced to the City. 4.4 Project Schedule. A project schedule indicating relative timelines for procurement, installation, configuration, testing and training. Include a full description of major tasks and subtasks that will be required to meet the system requirements and project schedule. 4.5 Company Lawsuit Disclosure. A description, including the status and outcome, of any current or past lawsuits brought against the vendor related to the delivery of services in the past five years, including status and outcome, OR a statement that there have been no such lawsuits brought against the vendor.

SECTION 5: CONDITIONS AND STIPULATIONS 5.1 The City reserves the right to reject any or all proposals, cancel all or part of this RFP, and waive any non-material irregularities or informalities. Additionally, the City reserves the right to request additional information and clarification regarding any particular service from the proposing vendors. The City’s decision to award a contract will be based on many factors including, but not limited to, service, cost, experience, financial strength, references, and ability to deliver, or any other factor deemed by the selection committee to be in the best interest of the City. The City reserves the right to award this contract to the firm that best meets the requirements of the RFP, and not necessarily to the lowest bidder. The City reserves the right to reject any or all proposals prior to execution of the contract, with no penalty to the City. 5.2 This RFP and the vendor’s response, including all promises, warranties, commitments, and representations made in the successful proposal, shall become binding contractual obligations, and will be incorporated by reference in the final agreement between the City of Novato and the selected vendor. All terms and conditions not specifically identified as exceptions will be considered acceptable to vendor. 5.3 The City reserves the right to perform any portion of the service listed in the scope of work with City personnel. For the purpose of this proposal, the vendor is required to assume that no City staff will be available to perform any portions of the scope of services described in this RFP. However, City is not obligated to purchase any specified amount of services. 5.4 The vendor selected shall be solely responsible for contractual performance and management of all subcontract relationships. This contract allows subcontracting assignments. However, the primary vendor assumes all responsibility for services required of a subcontractor. The proposal shall disclose and briefly describe the use of subcontractors, in their specific scope of work. 5.5 All materials received relative to this RFP will be kept confidential, until such time an award is made or the RFP is canceled, at which time all materials received will be made available to the public. Proposals received will be subject to Government Code 6250, the Public Records Act. Vendors should mark information they consider proprietary or confidential in the event it is exempt from the requirements of the Act.

SECTION 6: CONTRACT TERMS AND CONDITIONS 6.1 The contract resulting from this RFP shall be in form and content satisfactory to the City and shall include, without limitation, the terms and conditions provided for in this RFP and such other terms and conditions as the City deems necessary and appropriate. The standard of performance for the contract resulting from this RFP shall be in accordance with the highest applicable standards in the construction industry. The contract resulting from this RFP shall be a not-to-exceed based contract. The initial contract price will be based on prices submitted by the Selected Vendor, subject to contract negotiations with the City, and shall remain firm for the term of the contract. 6.2 The contract shall be effective upon the date the contract is signed by both the City and the Vendor and shall expire upon completion of the Services covered by the contract. The contract may be terminated by the City upon thirty (30) days written notice of such termination, In the event of the City’s termination of the contract, there shall be no further obligation on the part of the City to the Vendor save and except for payment of sums due and owing for expenses and work incurred by the Vendor prior to the date of termination. In the event of such a termination, Vendor shall agree to cooperate in connection with any necessary transition services and shall be reimbursed for such transition services at Vendor’s standard rates. 6.3 Proposers understand that this RFP does not constitute an offer or a contract with the Proposer. This RFP does not, by itself, obligate the City to award a contract. The City’s obligation will commence only following the City Council’s approval of a contract and the parties’ execution of the contract. Upon written notice to the Vendor, the City may set a different starting date for the contract. The City will not be responsible for any work done or expense incurred by the Vendor or any subcontractor, even such work was done or such expense was incurred in good faith, if it occurs prior to the contract start date set by the City. 6.4 In the event of contract dispute, dispute proceedings will be held in the State of California. Mediation, subject to written agreement of the parties, will be a mandatory first step in the event of a dispute, prior to any legal action as set forth in the contract. 6.5 The awarded Vendor must provide a valid W-9 form within five (5) days of notification of award. 6.6 The Vendor must comply with all known Federal, State and Local requirements that apply to the Proposal, the evaluation, and the contract. 6.7 Any written, printed, graphic, or electronic or magnetically recorded information furnished by the City for the Proposer’s use are the sole property of the City. This proprietary information includes, but is not limited to, customer requirements, customer lists, marketing information, and information concerning City employees, products, services, prices, operations, security measures, and subsidiaries. 6.8 The Proposer and its employees shall keep this confidential information in the strictest confidence, and will not disclose it by any means to any person except with City approval, and then only to the extent necessary to perform the work under the contract. These confidentiality 8
obligations also apply to the Proposer’s employees, agents, and subcontractors and Proposer shall be liable for a breach of the confidentiality obligations by any such party. On termination of the contract, the Proposer, its employees, agents and subcontractors will promptly return any confidential information in its possession to the City 6.9 The use of any and all City property by Vendor or its agents must be approved in advance by the City. 6.10 A comprehensive warranty in form and content satisfactory to City is sought by the City for all hardware and implementation services covered by this RFP. It is assumed that Proposers have priced the hardware and services to recognize these warranty provisions. The extent of and proposed terms of the warranty coverage will be evaluated by the City as an important part of the overall procurement process. 6.11 Proposer shall, at Proposer’s expense, secure and maintain in effect throughout the duration of the contract, insurance of the following kinds and limits set forth in this Section 6.11. The Proposer shall furnish a certificate of insurance to the City before starting work or within ten (10) days after the notice of award of the contract, whichever date is reached first. All insurance policies, except professional liability insurance, shall be written with insurance companies licensed to do business in the State of California and having a rating of at least A-VII, according to the latest edition of the Best’s Key Rating Guide; and shall include a provision preventing cancellation of the insurance policy unless fifteen (15) days prior written notice is given to the City. The following provision shall also be stated on each applicable certificate of insurance: “Should any of the above described policies be canceled before the expiration date, the issuing company shall mail fifteen (15) days’ written notice to the certificate holder named to the left.” Proposer shall require any of its subcontractors to secure and maintain insurance as set forth in this Section and indemnify, hold harmless and defend the City, its officers, employees, attorneys and volunteers as set forth in this RFP. 6.12 Proposer shall at all times observe and comply with all Federal, State and Local laws, ordinances and regulations including all amendments and revisions thereto, which in any manner affect Proposer or the services and/or items to be provided, specifically and not limited to any laws relating to conflicts of interest. Failure to comply with any applicable laws may result in: i) the termination of the contract; ii) the forfeiture by Proposer of all benefits of the Contract; iii) the retainage by City of all Services performed by Proposer and iv) the recovery by City of all consideration, or the value of all consideration, paid to Proposer pursuant to any awarded contract. 6.13 Proposers must disclose any pending or recent litigation they are involved in as a company. Recent is defined as the past three (3) years. Information provided should include the timeline of the litigation history, the subject of the litigation, and the current status of the litigation. Proposals must also disclose any pending litigation of any third-party partners in the Proposal. 6.14 By signature on the Proposal, the Proposer certifies that it complies with: A. The laws of the State of California and is licensed or qualified to conduct business in the State of California; B. All applicable Local, State and Federal laws, codes and regulations; 9
C. All terms, conditions, and requirements set forth in the RFP; D. A condition that the Proposal submitted was independently arrived at, without collusion; and, E. A condition that the offer will remain open and valid for the period indicated in this solicitation; and any condition that the firm and/or any individuals working on the contract do not have a possible conflict of interest. 6.15 If any Proposer fails to comply with the provisions stated in this request for proposal, the City reserves the right to reject the Proposal, terminate the contract, or consider the Proposer in default. 6.16 Proposals must remain open and valid for at least 90 days from the deadline specified for submission of Proposals. In the event award is not made within 90 days, the City will send a written request to all Proposers deemed qualified for award asking Proposers to hold their price firm for a longer specified period of time. 6.17 Proposers may amend or withdraw Proposals prior to the deadline set for receipt of Proposals. No amendments will be accepted after the deadline unless they are in response to a request of the City. After the deadline, Proposers may make a written request to withdraw Proposals and provide evidence that a substantial mistake has been made. The City may permit withdrawal of the Proposal upon verifying that a substantial mistake has been made. 6.18 Subcontractors may be used to perform work under this contract. If the Proposer intends to use subcontractors, the Proposer must identify in the Proposal the names of the subcontractors and the portions of the work the subcontractors will perform. 6.19 If a Proposal with subcontractors is selected, the Proposer must provide the following information concerning each prospective subcontractor within five (5) working days from the date of the City’s request: A. Complete name of the subcontractor; B.
Complete address of the subcontractor;
C.
Type of work the subcontractor will be performing;
D. Percentage of work the subcontractor will be providing; E.
Evidence, as set out in the relevant section of this RFP, that the subcontractor is registered or qualified to do business in California and, if applicable, holds a valid State of California business license;
F.
A written statement, signed by each proposed subcontractor, that clearly verifies that the subcontractor is committed to render the Services required by the contract, that such subcontractor is able to satisfy the applicable insurance, confidentiality, conflict of interest, 10
G.
and other applicable requirements under the RFP, and that the subcontractor agrees to be bound by the contract; and A copy of the prime-contractor/subcontractor contract verifying the prime-contractor has the sole responsibility for any and all Services under this RFP and is financially liable, without exception, to the City for all Services contracted by the Proposer and the subcontractor under this RFP.
6.20 The Proposer’s failure to provide this information, with the time set, may cause the City to consider its Proposal nonresponsive and reject it. The substitution of one subcontractor for another may be made only at the discretion and prior written approval of the City Manager. 6.21 The City reserves the right to reject any Proposal, in whole or in part. Proposals received from debarred or suspended Vendors will be rejected. The City may reject any Proposal that is not responsive to all of the material and substantial terms, conditions, and performance requirements of this RFP as determined in the City’s discretion. 6.22 The City reserves the right to reject any Proposal determined to be nonresponsive or any Proposal from a Vendor deemed to be non-responsible. The City also reserves the right to refrain from making an award if it determines it to be in its best interest. 6.23 In order to determine if a Proposal is reasonably susceptible for award, communications by the City or the Proposal Evaluation Committee are permitted with any Proposer to clarify uncertainties or eliminate confusion concerning the contents of a Proposal and determine responsiveness to the RFP requirements. Clarifications may not result in a material or substantive change to the Proposal. The initial evaluation may be adjusted because of a clarification under this section. 6.24 After final evaluation, the City may negotiate with the offerors of the highest-ranked Proposal. If any Proposer fails to negotiate in good faith, the City may terminate negotiations and negotiate with the offeror of the next highest-ranked Proposal or terminate negotiations with any or all Proposers. 6.25 If contract negotiations are commenced, they will be held at City of Novato office locations at a date and time to be determined. 6.26 If contract negotiations are held, the Proposer will be responsible for all of Proposer’s costs including, without limitation, its travel and per diem expenses and its legal fees and costs. 6.27 If the selected Proposer: A. Fails to provide the information required to begin negotiations in a timely manner; or B. Fails to negotiate in good faith; or C. Indicates it cannot perform the contract within the designated timeframes or within budgeted funds available for the Project; or

D. If the Proposer and the City, after a good-faith effort, cannot come to terms; then the City may terminate negotiations with the Proposer initially selected and commence negotiations with the next highest-ranked Proposer. At any point in the negotiation process, the City may, at is sole discretion, terminate negotiations with any or all Proposers. 6.28 The Proposer shall indemnify, defend and hold and save the City and all officers, agents, servants and employees of City harmless from and against any and all liabilities, claims, costs or expenses whatsoever arising out of or resulting from this Agreement or any act, omission or negligence of Proposer or any officers, agents, servants, employees or subcontractors of Proposer, including without limitation, any liabilities, claims, costs or expenses arising directly or indirectly, from any patented or otherwise protected invention, software, intellectual property, process, article or appliance implemented or used in the performance of the contract, including its use by the City. 6.29 Any contract or agreement resulting from this RFP shall be construed in accordance with the laws of the State of California. Any litigation between the parties arising out of, or in connection with the contract shall be initiated and prosecuted in any Federal or State court in Marin County, California. Mediation, subject to written approval of both parties, will be a mandatory first step in the event of a dispute, prior to any legal action as set forth in the contract. 6.30 All Project Vendors, participants, consultants, engineers and subcontractors must comply with all applicable Federal, State and Local laws pertaining to contracts entered into by governmental agencies, including, without limitation, non-discriminating employment. Contracts entered into on the basis of submitted Proposals are revocable if contrary to law. 6.31 During the performance of the contract, the Contractor and all subcontractors will not discriminate against any employee or applicant for employment because of race, color, creed, religion, ancestry, national origin, sex, sexual orientation, disability, age, marital status, or status with regard to public assistance. The Contractor and all subcontractors will take affirmative action to ensure that all employment practices are free of such discrimination. Such employment practices include, but are not limited to, the following: hiring, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff, termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. 6.32 The Contractor and all subcontractors agree to comply with the Americans with Disabilities Act and Section 504 of the Rehabilitation Act of 1973 and not discriminate on the basis of disability in the admission or access to, or treatment of employment in its services, programs, or activities. The Contractor and all subcontractors agree to hold harmless and indemnify the City from costs, including but not limited to damages, attorney’s fees, and staff time, in any action or proceeding brought alleging a violation of ADA and/or Section 504 caused by the Contractor and any subcontractor. 6.33 The Contractor and all subcontractors will comply with all applicable Local, State, and Federal laws, ordinances and regulations in the performance of the contract. The contract will comply with and be governed by all laws of the State of California. Any violation shall constitute a material breach of the executed contract. 6.34 The City of Novato conducts business with the public, business partners, vendors and contractors under a set of rules to ensure that all City officials and employees discharge their duties in a manner designed to promote public trust and confidence in our City. 12
6.35 Neither Party shall be in default by reason of any failure in performance of the contract if such failure is proximately caused by causes beyond their reasonable control and without the fault or negligence of said Party including, without limitation, unforeseeable acts of nature; terrorism or other acts of public enemy; war and epidemics or quarantine restrictions (“force majeure”). 6.36 If either Party is delayed at any time in the progress of the work governed by the contract by force majeure, the delayed Party shall notify the other Party in writing of such delay, as soon as is practical, of the commencement thereof and shall specify the cause(s) of such delay in the notice. The notice shall be hand-delivered or mailed certified-return receipt and shall make a specific reference to this provision. The delayed Party shall cause such delay to cease as soon as practicable and shall notify the other party in writing when it has done so. The time of completion shall be extended by contract modification for a period of time equal to the time that results or effects of such delay prevent the delayed Party from performing in accordance with this contract. 6.37 The Proposer shall, as a condition of being considered for award of the contract, require each of its agents, officers and employees to abide by the City’s policies prohibiting sexual harassment, smoking, as well as all other reasonable work rules, safety rules or policies regulating the conduct of persons on City property at all times while performing duties pursuant to the contract. The Proposer agrees and understands that a violation of any of these policies or rules will constitute a breach of the contract and will be sufficient grounds for immediate termination of the contract by the City. 6.38 It shall be understood that all Proposals, responses, inquiries or correspondence relating to or in reference to this RFP, and all reports, charts and Proposals or referencing information submitted in response to this RFP shall become the property of the City, and will not be returned. The City will use discretion with regard to disclosure of proprietary information contained in any response, but cannot guarantee information will not be made public. As a governmental entity, the City is subject to making records available for disclosure pursuant to applicable public record disclosure laws, and Proposers, including the Proposer ultimately awarded the contract, shall cooperate in complying with such public disclosure laws at no additional cost to the City.

1.04 DEMOLITION A.

Re-use (1) mounting hole for new microphone mount, and provide a grommit/cover on the other hole. 2. Audio Systems a. The reinforcement audio system is comprised of an automatic mixer system with automatic echo cancellation, and integrated VOIP hybrid. b. Connect to the existing Cisco VOIP system, and coordinate with the City’s IT forces for complete configuration. The clerk should be able to make & receive calls using the VOIP system and the in-room microphones & speakers. Provide dialing and volume controls as are typical & customary. c. Two channels of wireless microphone shall be provided, complete with antenna combiner and antennas. d. The loudspeaker system is comprised of existing ceiling speakers and existing multichannel amplifier. e. At the public lectern, (1) microphone shall be provided. On/off control shall be via master control system, with control via button at the Mayor’s position and the touchpanel. f. An existing audio patchbay shall be re-used. Provide new labeling to match the new system configuration. Provide additional patchpoints if necessary to accommodate the new system design. 3. Audio DSP Programming a. The internal programming of the DSP is under the scope of this work, and shall be submitted for approval during the shop drawing process. The contractor is responsible to provide standard & customary DSP blocks, including necessary EQ, protection limiting, etc. b. All DSP programming is the responsibility of the AV contractor. DSP programming shall be carried out by a factory-certified programmer. 4. Assistive Listening a. Reuse existing FM-based assistive listening system. b. Reuse existing loop-based assistive listening system. 5. Video Systems- Presentation a. A 16x16 cross-format matrix switcher shall be provided to handle signals from all video devices, including analog and digital laptop computer inputs, and other inputs as indicated on the drawings. The laptop computer inputs shall use Shielded CAT cable as their means of transporting AV signals. The switcher shall be fully HDCP compliant and support EDID. b. It is within the scope of this project to completely define and configure the EDID table. The presentation system shall operate at 1920x1080p natively, without scaling. A scaling output device is provided at the projector, which is a 1920x1200 device. c. At the wall behind the clerk’s position, a 10” touchscreen for AV system control shall be placed. d. Provide a streaming preview input to system touchpanels from the matrix switcher, using a streaming output card in the video switcher. This stream will also need to be viewed on the iPad running the Crestron application. Configure connection to the City’s IT network appropriately to allow this to function properly. e. A BYOD receiver shall be provided. Connect to the City’s network for access to the City WiFi service. Coordinate with City IT personnel for proper & desired network configuration. f. An existing document camera at the public speaker’s podium shall be re-used. Connect to VGA and RS-232 control, and provide controls to the clerk via touchpanel.

g. A new video projector with laser source, appropriate lens, and 1920x1200 resolution shall be provided, complete with wall mount. h. The projector shall use the existing motorized roll-down projection screen. Connect the existing screen to the control system and program complete. i. Two 70” LCD flat panel displays with tilting mount shall be provided at locations indicated in the drawings. The display shall be controlled via LAN or RS-232 connections from the digital media system. j. One 55” LCD flat panel display with digital signage player shall be provided at lobby location for use as either overflow or digital signage. Provide tilt mount. The display shall be controlled via LAN connection from the digital media system. k. The existing lobby display and mount shall be re-purposed for use in the kitchen. Move to kitchen and mount & connect complete. l. Configure digital signage player on the City’s network, and assist with setup of the digital signage software onto a City computer. Provide two hours of training on software operation. The digital signage player shall control the display via RS-232 connection via the signage software. Broadcast Systems a. A broadcast-style production video switcher with integrated multiviewer, video playback from HDD, and CG software shall be provided with all accessories as shown in the equipment list and in the drawings. b. The video switcher shall be configured and programmed to be fully operable, and be delivered in a “turn-key” manner. c. Two (8) hour days of manufacturer training & setup time shall be provided as part of this scope. d. An audio control surface that connects to the broadcast switcher shall be provided and configured appropriately to allow control of typically-used audio signals. e. Two HDCP-compliant broadcast-grade LCD monitors shall be provided by owner for use with the switcher’s multiviewer outputs. f. Provide a 16x16 reclocking HD-SDI router with front-panel controls and support for embedded audio signals. Configure typically-used routing into presets for easy recall. Provide custom labels on all buttons to indicate all inputs and outputs. g. The audio path from the presentation audio system to the broadcast audio system shall be via AES67. Provide any necessary drivers for the video switcher to be able to accept the multi-channel audio stream from the audio DSP, and configure the DSP as necessary to send typical & customary stems for use in broadcast production. h. Two existing powered loudspeakers will be re-used for monitoring. Bring the ¼” headphone output to the face of the rack via rack-mount panel. i. Provide (4) pan/tilt/zoom cameras with HD-SDI output and LAN-based control, complete with wall mount bracket. j. Provide a PTZ camera controller, complete with preset recall. k. Provide a single, fixed-view camera with HD-SDI output for confidence monitoring. Provide lens that allows a wide shot of the room, sufficient to see when someone is walking toward the podium, etc. l. Connect an HDSDI feed from the router to the (e) video / audio fiber transmitter and confirm proper operation with community media center personnel. m. Connect an HDSDI feed with component video & audio converter from the router to the (e) Granicus encoder and confirm proper operation with city personnel. n. For backup recording, provide a hard-disk-based rack mount recorder with SSD drives and outboard dock as indicated in the spec. Connect input/output to the router. o. Connect existing Cable TV receiver to the presentation switcher. For cable TV confidence monitoring, provide an LCD panel with integrated CATV tuner, fed via HDMI from the presentation switcher. p. Several video scalers and a sync/test generator shall be provided.

Furniture a. Remove (1) of the (4) existing racks at the equipment room, and trim the work surface down by (1) rack width. Cut the work surface on the side that abuts the wall, to maintain the finished edge on the visible side of the work surface. This modification will create additional space in the equipment room. 1) Remove electrical power feeding in-rack power raceway to the removed rack, and properly terminate and label the unused circuits in the on-floor junction box located under rack #2. 8. Control System a. A touch screen based control system shall be provided for control over all applicable AV devices. b. A black 10” color touchscreen with table base shall be provided at the control booth. c. A white 10” color touchscreen with custom plate to fill the existing touchpanel backbox shall be provided on the wall behind the clerk’s position. d. A dedicated gigabit Power-Over-Ethernet switch for control system use shall be provided. e. Provide the Crestron iOS application, and install on an owner-provided iPad. Configure complete. The iPad shall be able to view any output of the matrix switch. f. All control system programming is the responsibility of the AV contractor, and shall be submitted during the shop drawing phase for approval. See control system section below. g. A mute button shall be provided at the mayor’s position, with clear “mute on/off” engraving provided. This shall mute the public speakers podium feed. The control shall also be available from the clerks’ station touchpanel and iPad. 9. Public Speaker Timer a. Provide a public speaker timing system, complete with one podium-mounted clock/signal unit and three dias-mounted clock/signal units. The master control device shall be located at the clerks’ station. b. A central power supply shall be located in the AV equipment rack. Follow all manufacturer recommendations for connection and configuration. 10. Utility/General a. Provide all required mounting hardware necessary. b. Power will be sequenced via existing sequencer and MPR modules. Connect sequencer to the control system. c. The main AV racks shall be fed from an existing UPS system. 11. Building Data Network a. Provide all cabling & terminations necessary for connection of AV devices to building data network. See block diagram and drawings for locations. 12. Control System Programming a. Touchpanels shall be configured with the most often-used device functions. Do not attempt to put every possible device function on the touchpanel. b. The touchpanel shall be configured to work in two modes: Council Meeting and Community Room. c. The base template for the touchpanel shall be from the stock Crestron SmartGraphics line, with customization as necessary. The template colors shall be modified to match school colors, and the splash screen shall show the City’s logo. B.

ADD/ALT #AV1: Broadcast Delay 1. Provide a complete audio and video profanity/obsenity delay system, complete with main unit, control unit, 17” monitor and audio monitor. 2. Provide with 11-second HD delay time. 3. Configure complete and provide 2-hours of training to user group.
1.06 CURRENT TECHNOLOGY: A.
Only the most current hardware and software shall be provided. In no case will discontinued or superseded products be acceptable. If the manufacturer has developed and successfully released products that meet or exceed the criteria within this specification, the Contractor shall notify the Architect and submit the new product for review. If accepted, the products shall be provided at no additional cost to the Owner. Software upgrades and authorized support services for its proper integration into the system shall be provided at no cost to the Owner throughout the warranty period.
B.
In the event of known product defaults or recall, the Contractor shall immediately notify the Architect and make immediate arrangements for remedy.
C.
None of the stipulations herein shall be grounds for revision to the Project schedule.
D.
See related procedures under Warranties in this Section.
1.07 SUBSTITUTIONS: A.
All requests for substitutions from the specified materials, assemblies or related services shall be submitted for review by Architect in accordance with Section 01 25 00 – Substitution Procedures. Requests shall be made in a timely fashion so as to not affect the Project schedule in either case of the substitution being accepted or rejected.

Documentation for the substitution shall be submitted with supporting material and shall including the related information for the item as specified so that equivalence can be demonstrated. The burden of proof rests solely upon the Contractor. The Architect shall be the sole evaluator of the fitness of the substitution.
C.
All expenses related to the substitution including, but not be limited to, all fees and expenses incurred in the evaluation of the substitution, and any effect on the costs and schedule of other trades whether or not the substitution is accepted, shall be borne by the Contractor.
1.08 SUBMITTALS: A.
If permitted under Division 1, all submittals shall be made in electronic format. 1. Files shall be in .pdf format, and submitted via CD or DVD. 2. Clearly indicate submittal number and description in the file name of the document. 3. Each document shall be a separate file. 4. Markups will be made electronically, and the submittal returned via CD or DVD.
B.
Submittals shall be made in a timely fashion so as to not affect the Project schedule, and shall allow for adequate time for review and resubmittal. Partial submittals will not be acceptable and will be returned without review.
C.
Submittals shall be reviewed and field dimensions verified prior to commencing acquisition for, and fabrication of the Work in this section. All services and parts of the work in this section shall be verified through the submittal process.
D.
Prior to commencing work on shop drawings, the contractor shall facilitate a meeting between the contractor and Architect and his consultant to “walk through” the AV systems.
E.
Conduit, Backboxes and Electrical Systems Verification Letter: 1. Within 30 days of contract award, the AV contractor shall review all relevant information pertaining to the AV systems low-voltage conduit, backboxes, and linevoltage electrical work to be performed by Division 26. A formal memo, outlining acceptance (or desired changes) of the contract drawing shall be provided. Failure to provide this memo indicates acceptance of, and liability for, the conduit, backboxes and electrical systems as indicated in the Drawings.
F.
Shop Drawings: 1. Submit full-size (minimum 30” x 42”) scaled shop drawings that show the following: a. Installation requirements and mounting conditions. b. For loudspeaker clusters, or any device suspended from above: Provide stamped structural drawings by a structural engineer licensed in the State California. c. Full system riser diagram(s) illustrating interconnection of system components, wiring requirements, back box sizes and any special installation considerations. d. Block diagrams, showing equipment interconnection. e. Internal DSP programming (may be submitted as software file, or in flowchart form on paper) f. Equipment rack and patchpanel drawings. g. Full-scale drawings of custom plates. h. Run sheets or field wiring drawings. i. Equipment modification drawings, including statement of purpose for modification and agreement to provide full manufacturer warranty, if modifications cause a voided warranty. j. Final schematic drawings of any custom circuitry. k. Detailed equipment list, including quantity, manufacturer and model. l. Detailed product drawings, as applicable to the project. m. Touchpanel design subcontractor is responsible for design of touchpanel layouts, but shall be subject to consultant and Architect approval. Acceptance of any submitted data or shop drawings for material, equipment, apparatus, devices, arrangement and layout shall not relieve contractor from responsibility of furnishing same of proper dimensions and weight, capacities, sizes, quantity, and installation details to perform efficiently the requirements and intents of the systems design. Such acceptance shall not relieve the contractor from responsibility for error, omissions or inadequacies of any sort on submitted data or shop drawings.
G.
Product Data: 1. Submit a detailed equipment list, including manufacturer, model number, description and quantity for each item. 2. Do not submit equipment cut sheets, except for custom or non-standard devices.
H.
Samples: 1. If requested, submit samples for review. Samples may include, but are not limited to: a. Connector, panel and cable assemblies b. Panel finish samples c. Custom switch, button or similar assemblies
I.
Submit record documents in accordance with Division 1. 1. At time of final acceptance, submit regulatory listings and certifications as required by prevailing building codes. 2. Submit “as-built” drawings via electronic means including: a. Shop drawings, product data, operations and instructions manuals for all products provided. b. Equipment list, with manufacturer, model number, and serial number for all installed devices. c. Electronic backup of control systems or DSP systems programming. d. Care and maintenance instructions, service line and online contacts. e. Warranty documents.
1.09 WARRANTY: A.
Warranty shall provide coverage of material and product defects and assembly workmanship or installation for a period of one year following the date of acceptance by the Architect.
B.
Items under warranty shall be serviced to the satisfaction of the Owner with 14 days of notification to the Contractor.
C.
The Contractor shall bear all costs that arise as a result of the warranty claim, including, but not limited to, the use of temporary replacement components, additional Owner staffing or overtime, shipping, cancelled uses or performances.
D.
Activate all manufacturers’ warranties in the name of the Owner, within one week of the date of acceptance.
E.
Provide two return visits following system acceptance to fine tune or repair any items requested by the Owner: 1. 30-40 days following acceptance 2. 1 year following acceptance
1.10 QUALITY ASSURANCE: A.
Equipment in this Section shall be provided by specialty subcontractors and manufacturers meeting the qualifications listed herein.

Specialty subcontractor shall have been continuously engaged in the sales and integration of audio, video and communications equipment similar to that specified herein for a minimum of 10 years in the Bay Area, California.
C.
Specialty subcontractors shall have at time of bid and continuously maintain throughout the project and warranty period a C-7 and/or C-10 California Specialty Contractor’s license appropriate for the work in this Section.
D.
Specialty subcontractors shall employ field service technicians within a four hour driving distance from the Project site.
E.
Contractors must have at least one Infocomm CTS holder with current credential on local staff, and within 4-hour driving distance of the project.
F.
Contractor must have individuals with the following credentials on staff: 1. Crestron Master Programmer on staff, or as a frequently-used subcontractor. 2. Crestron Digital Media certification 3. QSC Q-Sys Certification 4. Digital Projection Authorized Dealer 5. Newtek Tricaster Authorized Dealer
G.
All equipment shall be UL or ETL listed and bear the appropriate labels.
1.11 DELIVERY, STORAGE AND HANDLING: A.
Packing shall prevent damage to the equipment during transit. Costs to repair or replace all equipment damaged during the course of the contract services shall be borne by the Contractor.
B.
Do not deliver materials in this Section until building is ready for installation. Contractor is responsible to properly sequence the work and to protect from damage during delivery, handling, storage and installation.
C.
Contractor is responsible to coordinate and provide secure and protected storage as required for the execution of the Contract. 1. Devices shall not be delivered to the project site until the project is suitably clean and all adjacent finish work that may be painted or produce dust has been completed. The contract shall provide and maintain complete protection of all devices until the Project has been made available for occupancy by the Owner. The contractor shall thoroughly clean and remove any dirt or dust that infiltrates system components and be responsible for timely replacement of any damaged components. 2. Device labels and connectors shall be delivered with temporary dust and paint protection installed.
1.12 PROJECT CONDITIONS: A.
Defects in the field which may impact the work in this Section shall be reported to the Architect and corrected in accordance with the requirements of the applicable Section of Work prior to commencement of the Work in this Section.
1.13 MAINTENANCE: A.
Provide maintenance stock of user-serviceable components within the system. Maintenance stock shall be packaged in labeled long term storage packaging and turned over to the Owner at time of system commissioning.
B.
Maintenance stock shall include: 1. Four fuses of each type in the system. 2. Five connectors of each type in the system. 3. Six spare keys of each type in the system. 4. Components recommended by the manufacturer. 5. Any non-standard tools required for Owner service. 6. Four spare lamps for each type in the system.

General: The control receptacle panels shall consist of the appropriate connectors required for the system.
B.
Physical: 1. Faceplates shall be 0.080” aluminum, edges eased, finished in fine texture, scratchresistant powder coat, with fasteners countersunk. a. Panels specified as flush mounted shall overlap back box by 1/2”. Surface mounted panels shall match back box size with no gaps or overlap. b. Coordinate back box type, size and mounting with Division 26 - Electrical. 2. Color shall match the finished wall color of the wall onto which it will be mounted, unless otherwise noted. Submit color table for review. 3. Panels noted as custom color shall be factory powder coated a color selected by the Architect. Legends shall be laser etched. 4. Laser etched labels 1/4” high characters minimum, unless otherwise noted. a. Labeling shall be as indicated on the Drawings. b. Use Arial font. 5. Provide floor pocket backboxes and pour pans (if conditions warrant) to Division 26 Electrical for installation.
PART 3 - EXECUTION 3.01 INSTALLATION- GENERAL: A.
Coordinate with Division 26 - Electrical for the proper installation of the conduit, backboxes, and electrical service as specified herein.
B.
Coordinate scheduling and access with the Contractor and provide personnel lifts or ladders as required for access to the AV equipment.
C.
Remove all packing materials from the Project Site. Insert operations and maintenance information into the Project record documents as specified above in Submittals.
D.
Record Block Diagram: Post a laminated 11x17 as-built block diagram of the entire system (split into multiple sheets as necessary), and physically attached to the equipment rack in a logical location for Owner reference.
3.02 CABLE INSTALLATION: A.
Mark cables, regardless of length, with permanent, non-handwritten number or letter cable markers within 6-inches of both ends. There shall be no unmarked cables in the system. Marking codes used on cables shall correspond to codes used on Drawings and schedules.

As indicated on the Drawings, group cables according to signal type. Up to 6 separate conduit systems may be in place, divided as follows: 1. A: Microphone Level Audio 2. B: Line Level Audio 3. C: Video and Communication Level 4. D: Loudspeaker Level 5. E: Empty/Future expansion 6. F: Fiber Optic Level

As much as possible, maintain separation of signal types when outside of conduit.
D.
No cable shall be installed with a bend radius less than recommended by the manufacturer.
E.
Cables types shall be as indicated on the Drawings. In plenum spaces, provide the plenum version of the specified cable type.
3.03 PROTECTION OF PROPERTY: A.
Contractor is responsible to provide protection for all equipment, tools and materials delivered to the Project Site prior to final acceptance by Owner. Any loss or damage is the responsibility of the contractor, until final acceptance by Owner.
3.04 SEQUENCING: A.
The contractor shall not install any electronic equipment until the room where the equipment shall be located has been finally painted or otherwise finished, and cleaned by the Contractor or Owner’s Representative. Any damage to equipment resulting from failure to follow this requirement will result in the contractor replacing the damaged equipment at their cost.
3.05 COMMISSIONING AND DEMONSTRATION: A.
Coordinate with Division 26 - Electrical.
B.
Appropriately trained personnel shall review, test, program and otherwise complete the system, following completion of installation.
C.
Upon completion of the installation, the Contractor shall notify the Architect that the system is available for formal checkout. Notification shall be provided in writing. Checkouts shall be scheduled in accordance with the Architect’s schedule.
D.
Audio System Tuning: 1. Following complete system installation, each device shall be set for correct gain-staging. a. This is best accomplished with an oscilloscope and a 400Hz tone generator, but other methods may be used. b. If the system has been set correctly, the console’s VU meters will be at zero when the system is accomplishing the specified dB-SPL level. Every device in the audio signal path should clip at the same level, maximizing headroom and keeping the noise floor to a minimum. 2. System shall be tuned prior to final checkout by contractor, using a computer-based audio analysis program, such as SMAART, TEF, or SIMM. A factory-certified individual shall carry out the tuning.
E.
Cable Television System Tuning: 1. Following complete installation, each device in the CATV system shall be tuned to exact an output of +5 dBmV, +/- 3 dBmV at the television output. 2. Audio input at the modulator shall be set in accordance with the gain staging requirements covered in the audio sections. 3. Video input at the modulator shall be set per manufacturer’s guidelines.
F.
Provide to the Architect and or his Consultant the following upon arrival: 1. Measurements of impedance of each loudspeaker prior to connecting it to an amplifier. 2. Measurements confirming the polarity of each loudspeaker, from output of console through entire system.

Measurements showing all Ethernet wiring complies with Category 5e or Category 6 requirements for full bandwidth operation. Verification that every line has been sweep tested and conforms to standard requirements per signal level. Measurements showing CATV output voltage at each TV outlet. Demonstration of input and output of signal throughout the entire audio system.
G.
Make available for review by the Architect and or his Consultant: 1. All components for physical inspection and inventory. 2. A computer to access any DSP units. 3. All installed devices in full operation, with no temporary equipment in place. 4. All portable devices, fully complete, and available to test at all plug-in locations. 5. Test equipment, including: a. High quality media for every presentation source b. Video and RGBHV test generators c. Portable TV with CATV receiver input d. AC voltmeter e. Sound level meter f. Portable amplified loudspeaker g. Waveform monitor (oscilloscope) h. Audio analysis equipment (provides real time display, pink noise source, test oscillator, level and THD+N measurements) i. Cablesets, adapters, and connectors for inserting the test equipment into and out of the system’s user interfaces and connector plates.
H.
The Contractor shall be liable for any return visits by the Architect and/or his consultant as a result of incomplete or incorrect installation, or erroneous representation that the Systems are complete and ready for the Architect to carry out its work.
I.
The Contractor shall arrange for access as necessary for inspection of equipment by the Architect and or his consultant
J.
Upon completion of the commissioning, Contractor shall demonstrate operation and maintenance of the system to the Owner. Coordinate with the Owner’s schedules two weeks in advance minimum.
3.06 TRAINING: A.
Provide training as follows: 1. One day with user group one week prior to initial handover. 2. One day with user group and maintenance staff one month after initial training. 3. One day with user group and maintenance staff one year after initial training, but prior to warranty expiration.
B.
Training sessions noted above are in addition to any manufacturer-provided training requested in the specification
C.
Provide technician on site during the first council meeting to assist with operations.
D.
Training shall include, but not be limited to: 1. Safety precautions. 2. Identification of all elements provided under this section. 3. Maintenance, diagnostics and trouble shooting. 4. Operation of system, including necessary software training. 5. Operations and maintenance manual orientation.

ASSISTIVE LISTENING CODE REFERENCES 1. 219.2 Required Systems. In each assembly area where audible communication is integral to the use of the space, an assistive listening system shall be provided. EXCEPTION: Other than in courtrooms, assistive listening systems shall not be required where audio amplification is not provided. 2. 219.3 Receivers. Receivers complying with 706.2 shall be provided for assistive listening systems in each assembly area in accordance with Table 219.3. Twenty-five percent minimum of receivers provided, but no fewer than two, shall be hearing-aid compatible in accordance with 706.3. EXCEPTIONS: 1. Where a building contains more than one assembly area and the assembly areas required to provide assistive listening systems are under one management, the total number of required receivers shall be permitted to be calculated according to the total number of seats in the assembly areas in the building provided that all receivers are usable with all systems. 2. Where all seats in an assembly area are served by an induction loop assistive listening system, the minimum number of receivers required by Table 219.3 to be hearing-aid compatible shall not be required to be provided. 3. Advisory 706.1 General. Assistive listening systems are generally categorized by their mode of transmission. There are hard-wired systems and three types of wireless systems: induction loop, infrared, and FM radio transmission. Each has different advantages and disadvantages that can help determine which system is best for a given application. For example, an FM system may be better than an infrared system in some open-air assemblies since infrared signals are less effective in sunlight. On the other hand, an infrared system is typically a better choice than an FM system where confidential transmission is important because it will be contained within a given space. 4. 703.7.2.4 Assistive Listening Systems. Assistive listening systems shall be identified by the International Symbol of Access for Hearing Loss complying with Figure 703.7.2.4. (signage by architect).
