CONTROLLING PROVISIONS - This acknowledgment includes the following terms and conditions and unless written notice of objection to any of such terms and conditions (including inconsistencies between Buyer’s purchase order and this acceptance) is given by Buyer to Seller promptly on receipt of this acknowledgment, Buyer agrees that they shall become part of this contract between Buyer and Seller. This acknowledgment shall operate as Seller’s acceptance of Buyer’s purchase order, but such acceptance is made expressly conditional on assent by Buyer to the terms and conditions included in this acknowledgment. Buyer and Seller agree that this acknowledgment, including the following terms and conditions, shall constitute the complete and final agreement between Buyer and Seller in respect of this order. None of the terms and conditions contained in this acknowledgment may be added to, modified, superseded or otherwise altered except by a written instrument signed by an authorized representative of Seller and delivered by Seller to Buyer, and the products received by Buyer from Seller shall be deemed to be delivered only upon the terms and conditions contained in this acknowledgment, except as they may be so added to, modified, superseded or otherwise altered. QUOTATIONS - All written quotations automatically expire unless accepted within thirty (30) days from the date quoted unless otherwise noted. Verbal quotations expire the same day they are made. All quotations are subject to approval by an authorized representative of Seller. All stenographic and clerical errors are subject to correction. PRICES AND TERMS OF PAYMENT - Payment terms to buyers are 1% 20; net 30 days or those terms in effect at the time of shipment as otherwise indicated within the invoice. All due dates are calculated from date of invoice. Prices are subject to change without notice to reflect Seller’s prices, and applicable freight or transportation rates, in effect as of the date of shipment. TAXES - Prices specified do not include sales, excise or other taxes payable on account of this transaction. All such taxes in effect and/or hereafter levied which are applicable to this transaction are in addition to such prices and shall be paid by the Buyer. SHIPMENT - Shipment will be F.O.B. Seller’s facility. Scheduled or stipulated shipping dates are approximate and based upon prompt receipt of all necessary information from Buyer. If shipment is delayed at the request of, or due to acts or omissions by Buyer, Seller shall have the right to store the goods at a place of

Seller’s choice at Buyer’s risk and expense. Title to and risk of loss of the goods shall pass to Buyer upon delivery to common carrier at the F.O.B. point, subject to any applicable lien right of Seller. It is Buyer’s responsibility to file any shortage or damaged goods claims with the common carrier. CANCELLATION AND TERMINATION - Any order may be terminated by Buyer only upon written notice to Seller and upon payment to Seller of cancellation charges, which shall include (i) full payment for all goods finished and unpaid for as of the date of Seller’s receipt of Buyer’s written notice and (ii) twenty percent (20%) of the final net price of the remaining quantity of goods ordered. Payment shall be made within thirty (30) days from date of invoice. Seller shall have the right to cancel any order at any time, upon written notice, for any breach by Buyer of the terms of this agreement, and Seller shall be entitled to collect cancellation charges as identified above. No termination by Buyer for default shall be effective unless and until Seller shall have failed to correct such alleged default within thirty (30) days after receipt by Seller of the written notice specifying such default. LIMITED WARRANTY - The Chamberlain Group, Inc. The proper operation of this product is dependent on your compliance with the instructions regarding installation, operation, maintenance and testing. warranty, call 800-323-2276 before dismantling this product. Then send this product, pre-paid and insured, to our service center for warranty replacement. You will be advised of shipping instructions when you call. Please include a brief description of the problem and a dated proof-of-purchase receipt with any product returned for warranty replacement. Products returned to Seller for warranty replacement, which upon receipt by Seller are confirmed to be defective and covered by this limited warranty, will be replaced (at Seller’s sole option) at no cost to you and returned pre-paid. Defective parts will be replaced with new or factory-rebuilt parts at Seller’s sole option. THIS LIMITED WARRANTY IS IN LIEU OF ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR OTHERWISE, AND OF ANY OTHER OBLIGATIONS OR LIABILITY ON SELLER’S PART. THIS LIMITED WARRANTY DOES NOT COVER NON-DEFECT DAMAGE, DAMAGE CAUSED BY IMPROPER INSTALLATION, OPERATION OR CARE (INCLUDING, BUT NOT LIMITED TO ABUSE, MISUSE, FAILURE TO PROVIDE REASONABLE AND NECESSARY MAINTENANCE, UNAUTHORIZED REPAIRS OR ANY ALTERATIONS TO THIS PRODUCT), LABOR CHARGES FOR REINSTALLING A REPAIRED OR REPLACED UNIT, PROBLEMS RELATED TO INTERFERENCE, OR REPLACEMENT OF BATTERIES. UNDER NO CIRCUMSTANCES SHALL SELLER BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES ARISING IN CONNECTION WITH USE, OR INABILITY TO USE, THIS PRODUCT. IN NO EVENT SHALL SELLER’S LIABILITY FOR BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE OR STRICT LIABILITY EXCEED THE COST OF THE PRODUCT COVERED HEREBY. This limited warranty gives you specific legal rights, and you may also have other rights which vary from state to state. OPTIONAL EXTENDED WARRANTIES ® (Sentex Telephone Entry Only) A. Variable length - Extends the limited warranty period by one-year increments up to a total of seven years. B. Fixed length (5 year) - Extends the limited warranty period to a total of five years.
OPTIONAL LIGHTNING WARRANTY ® (Sentex Telephone Entry Only) Provides protection from lightning for a total of one year and only within the first year of the product’s life. This warranty must be purchased separately and is also ® TM contingent upon purchase of Sentex or Elite low ® TM voltage surge suppression and Sentex or Elite telephone line surge suppression. REMEDIES - In case Buyer shall fail to make payments in accordance with the terms as set forth in this acknowledgment, Seller, in addition to its other rights and remedies, may, at its option, defer further shipments until such payments are made, or may terminate the contract, and Buyer shall not have any cause of action or be entitled to any offset, counterclaim or recoupment against Seller by reason of any such action. Buyer agrees to pay any legal fees which may be necessary to effect collection. FORCE MAJEURE - In the event Seller’s performance of this is limited or prevented in whole or in part by acts of God, fire, war, civil disorders, strikes, explosions, embargoes, accidents, epidemics, floods, storms, shortages or failure of any source of supply or transportation upon which Seller is dependent, or by any rule, regulation, order or other action taken by any governmental authority or causes not reasonably within Seller’s control whether or not specifically provided herein, Seller shall be excused, discharged and released of performance to the extent such performance is limited or prevented without liability for damages of any kind. Nothing herein contained shall be construed as requiring Seller to accede to any demands of labor or labor unions, suppliers or other parties which Seller considers unreasonable. If by reason of any of the aforesaid circumstances Seller’s supply of any of the goods shall be insufficient to meet all of Seller’s requirements hereunder, Seller’s orders with its customers and for Seller’s own uses, Seller shall have the right at Seller’s option and without liability hereunder to apportion Seller’s available supply of the material among any and all of Seller’s customers, including Seller’s affiliates and itself in such manner as Seller in Seller’s sole discretion considers equitable. ASSIGNMENT - No assignment of any right or interest or delegation of any obligation or performance of Buyer under this order may be made without the prior written consent of Seller. Any attempted assignment or delegation will be wholly void and totally ineffective for all purposes.

GOVERNING LAW - This Agreement shall be governed by, and interpreted in accordance with, the laws of the State of Illinois, U.S.A. notwithstanding any conflict of laws principles thereof. The parties agree that the courts of the State of Illinois and/or the United States District Court for the Northern District of Illinois shall have exclusive jurisdiction over any litigation arising between the parties, and the parties hereto hereby agree to submit themselves to the personal jurisdiction of said courts. WAIVER - Any waiver by Seller of any breach or default by Buyer of any of Buyer’s obligations hereunder, and any failure by Seller to enforce any rights arising hereunder, shall not be construed as a waiver of any other breach or default by Buyer or of Seller’s right to enforce its rights arising hereunder in any other circumstances.

For applications that require an entry and exit keypad, or for control of a secondary entry point, the MINIkey supports an optional remote keypad unit that connects directly to the main unit. Both the MINIkey and remote keypad units are engineered to be rugged and vandal-resistant and will enhance the site with a well-crafted look for interior or exterior use.
