1.
TENDERING INFORMATION
1.1
Background to the City of Bayswater ('Principal') The City of Bayswater ('City') is a metropolitan local government located eight (8) kilometres east of the Perth CBD and has approximately 58,000 residents within the four (4) wards that cover the suburbs of Morley, Bayswater, Noranda, Embleton, Maylands and a small portion of Mt Lawley. The City has a number of recreational and sporting facilities, some of which have kiosk/café facilities for patrons and the general public. Tenders are called for awarding of lease agreements to manage and run a kiosk/café when the total value of the lease revenue (the contract value) is likely to exceed the Tender threshold as required under the Local Government Act 1995 and the (Functions and General) Regulations 1996. The City recently constructed a major multipurpose community and recreation centre at No. 28 Eighth Avenue, Maylands which is branded as 'The RISE'. This is an acronym for Recreation, Information, Socialising and Entertainment. This new centre provides a wide range of facilities and services to the City’s residents. The scale of the facility places it as one of the City’s signature buildings. A kiosk/café was incorporated into the design of The RISE ('kiosk/café' or 'Premises'). This has a Class 1 (commercial) kitchen and could be used as a café, kiosk or lunch bar. The City has obtained a market rental valuation report dated 13 September 2011 in relation to the kiosk/café premises. The valuation report concludes a current market rent of $26,000 excluding GST, net per annum for the kiosk/café premises.

Conditions of Tendering
1.2.1
Tender Lodgement The Tender must be lodged in the Tender Box at the City of Bayswater Civic Centre, 61 Broun Avenue, Morley WA 6062 prior to the Deadline. The Tender must be placed in a sealed envelope, clearly marked with the tender number and title. Two sets of documents are to be submitted; one original marked accordingly, the other a copy, marked accordingly. Electronic (email and facsimile) Tenders will not be accepted.
1.2.2
Late Tenders Will Not Be Accepted The Deadline for this Tender is 4.00 p.m. on Friday, 6 January 2012. Late Tenders will not be accepted.

Pre-Qualification Requirements There are no pre-qualification requirements for this Tender.

In-house Bids Do Not Apply The City of Bayswater is not competitively tendering for this Tender .
1.2.7
Evaluation Process Tenders will be evaluated against the information provided in the Tender. The following evaluation methodology will be used in respect of this Request: •

Tenders are checked for completeness and compliance. Tenders that do not contain all information requested in the Form of Tender and Schedules may be excluded from evaluation. Tenders are then assessed against the Qualitative Criteria. The most suitable Tenderers may be short listed and may also be required to clarify their Tender, attend preliminary site meetings or provide further information to support their capability for meeting the Tender requirements. Referees may also be contacted prior to the selection of the successful Tenderer.
Selection Criteria A scoring system will be used in the assessment of the Qualitative Criteria. Unless otherwise stated, a Tender that provides all the information requested will be assessed as satisfactory. The extent to which a Tender demonstrates greater satisfaction of each of these criteria will result in the actual score. The aggregate score of each Tender will then be applied to final assessment.
1.2.9
Mandatory Information The Mandatory Information will not be point scored. Each Tender will be assessed on a Yes/No basis as to whether the requirement is satisfactorily met. An assessment of 'No' against any mandatory requirement may eliminate the Tender from consideration.
1.2.10
Qualitative Criteria In determining the most advantageous Tender, the Evaluation Panel will score each Tenderer against the Qualitative Criteria as detailed within this document. Each criterion will be weighted to indicate the relative degree of importance that the Principal places on it. It is essential that Tenderers address each qualitative criterion. Information that you provide addressing each Qualitative Criterion will be point scored by the Evaluation Panel using structured worksheets. 4 of 21

Failure to provide the specified information may result in elimination from the Tender Evaluation process or a low score. 1.2.11
Policies and Procedures that may affect the Selection The City has a Code of Conduct which sets out requirements for declaring conflicts of interest and gift giving, applicable to employees and Elected Members of the City of Bayswater. Potential Tenderers are advised to read the Code of Conduct, which is on the City's website www.bayswater.wa.gov.au.
1.2.12
Disclosure of Contract Information Documents and other information relevant to the Contract may be disclosed when required by law under the Freedom of Information Act 1992 or under a Court order. All Tenderers will be given particulars of the successful Tenderer(s) or advised that no Tender was accepted.
1.2.13
Alternative Tenders All Alternative Tenders must be accompanied by a conforming Tender. Tenders submitted as Alternative Tenders or made subject to conditions other than the General and Special Conditions of Contract, must in all cases arising be clearly marked 'ALTERNATIVE TENDER'. The Principal may in its absolute discretion reject any Alternative Tender as invalid.
1.2.14
Tender Validity Period All Tenders will remain valid and open for acceptance for a minimum period of ninety (90) days from the Deadline or forty-five (45) days from the Council’s resolution for determining the Tender, whichever is the later unless extended on mutual agreement between the Principal and the Tenderer in writing.
1.2.15
Tenderers to be Informed Tenderers will be deemed to have: • •

Examined the Request and any other information available in writing to Tenderers for the purpose of tendering; Examined all further information relevant to the risks, contingencies and other circumstances having an effect on their Tender which is obtainable by the making of reasonable enquiries; Satisfied themselves as to the correctness and sufficiency of their Tenders including tendered prices which will be deemed to cover the cost of complying with all the Conditions of Tendering and of all matters and things necessary for the due and proper performance and completion of the Contract; Acknowledged that the Principal may enter into negotiations with a chosen Tenderer and that negotiations are to be carried out in good faith; and Satisfied themselves they have a full set of the Request documents and all relevant attachments.

1.2.16
Alterations to the Scope or Other Aspects of the Brief The Principal will issue an Addendum to all registered Tenderers where matters of significance make it necessary to amend or supplement the issued request documents before the Deadline. Tenderers must acknowledge receipt of the Addendum.
1.2.17
Risk Assessment The Principal may have access to and give consideration to any risk assessment undertaken by Dun and Bradstreet or any other credit rating agency and any information produced by a bank, financial institution, or accountant of a Tenderer to assess that Tender and may consider such materials in the Tender assessment.
1.2.18
Ownership of Tenders All documents, materials, articles and information submitted by the Tenderer as part of or in support of a Tender will become upon submission, the absolute property of the Principal and will not be returned to the Tenderer at the conclusion of the Tender process provided that the Tenderer be entitled to retain copyright and other intellectual property rights therein, unless otherwise provided by the Contract.
1.2.19
Canvassing of Officials If a Tenderer, whether personally or by an agent, canvasses any of the Principal’s Elected Members or officers with a view to influencing the acceptance of any Tender made by it or any other Tenderer, then regardless of such canvassing having any influence on the acceptance of such Tender, the Principal may at its absolute discretion omit the Tenderer from consideration.
1.2.20
Identity of the Tenderer The identity of the Tenderer must be clear and will be taken to be the person, persons, corporation or corporations named as the Tenderer in the Form of Tender. Upon acceptance of the Tender, the Tenderer will be referred to as the 'Lessee'.
1.2.21
Public Tender Opening Tenders will be opened in the Principal’s offices, immediately following the advertised Deadline. All Tenderers and members of the public may attend or be represented at the opening of Tenders. The names of the persons who submitted a Tender by the due Deadline will be read out at the Tender opening. No discussions will be entered into between Tenderers and the Principal’s officers present or otherwise, concerning the Tenders submitted.
1.2.22
Commercial in Confidence Disclosure Tenderers should be aware that while most Tender reports are treated as Confidential Items, the City has the discretion as to whether to treat any item as non-confidential. Where a Tender report or part thereof is treated as nonconfidential the details of the evaluation may be included in the monthly Minutes which are available on the City's website. The intent of such disclosure is to show transparency in the evaluation process. If any Tenderer wishes to have specific information withheld from public disclosure on the grounds of 'commercial in confidence', a clear statement to that effect must be included in the Tender submission.

1.2.23
Clarification of Shortlisted Tenderers Shortlisted Tenderers may be required to attend meetings or make presentations in relation to the Tender prior to the award of the Lease. The costs of all such presentations or demonstrations shall be borne by the Tenderer.
1.3
General Conditions of Contract Any subsequent Lease will be subject to the City's General Conditions of Contract for Services (issued separately) and the Special Conditions of Contract included in this document. In the event of there being any conflict or inconsistency between the Special Conditions in this Request and those in the General Conditions of Contract, the Special Conditions will have precedence. The General Conditions of Tendering, General Conditions of Contract and any Special Conditions must be agreed to by completing the Acknowledgement in the Form of Tender. If all Conditions are agreed to, the Tender submission will be treated as ‘unqualified’. If any of the Conditions are not agreed to, the Tender response may be assessed as 'qualified’ and any contract award may be subject to resolving the qualification.
1.4
Selection Process The selection will be on the basis of: QUALITATIVE CRITERIA 1.4.1 EXPERIENCE IN THE INDUSTRY • Experience on successfully operating a kiosk/café of similar scale, nature and setting. • Demonstrated track record in providing a high level of customer service in the hospitality industry. • Ability in and experience on attracting and retaining customers, including identifying market opportunities. 1.4.2 RENT • Annual rent offered to lease the kiosk/café premises. 1.4.3 FINANCIAL SUSTAINABILITY • Ability, willingness and sound financial support to be the Lessee and operate the kiosk/café for the duration of the lease term. 1.4.4 OPERATING HOURS • Ability and willingness to operate flexible and extended hours desirably, the hours of operation being at least the hours of operation of The RISE facility. 1.4.5 MENU DIVERSITY • Ability and willingness to offer a wide diversity of food and beverage services. Scope and Objectives The City of Bayswater has included a kiosk/café in the ground floor of The RISE multipurpose community and recreational centre in Eighth Avenue Maylands, as detailed below and Attachment No. 1.

The City is inviting Tenders from suitably capable and experienced persons to lease and operate the subject kiosk/café at The RISE. The RISE operates between the hours of 6.00am and 10.00pm Monday to Friday, 8.00am to 6.00pm on Saturday and Sunday and 9.00am and 6.00pm on Public Holidays. The total area of the kiosk/café is approximately 86.5 m 2 , including 64m 2 of kiosk/café, 17m 2 of kitchen store and 5.5m 2 of general store. This does not include the outdoor alfresco area. The City is prepared to consider issuing a licence to the successful Tenderer (Lessee) on an annual basis for the use of a portion of the adjacent outdoor area for alfresco dining associated with the kiosk/café. The subject Premises have been partially fitted out for a kiosk/café and the existing fixtures, fittings and equipment installed are contained in Attachment No. 2.

SPECIAL CONDITIONS OF CONTRACT
3.1
Key Lease Provisions The key provisions of the Lease will include and address but not limited to the following terms: a)
Permitted Purpose - Kiosk, lunch bar and/or café.
b)
Term - Five (5) years.
c)
Further Term - Five (5) years.
d)
Rent - to be determined.
e)
Rent Review Dates •
Market Rent Review Date(s) On the anniversary of the commencement date at two (2) yearly intervals, the first to occur on the second anniversary of the Commencement Date; then on the first day of the Further Term and then at two (2) year intervals.

Perth CPI Rent Review Date(s) On each anniversary of the commencement date which is not a Market Rent Review Date.
f)
Public Liability Insurance - $10,000,000 (ten million dollars).
g)
The City is prepared to consider issuing a licence to the Lessee (tenant) on an annual basis for the use of a portion of the adjacent outdoor area for alfresco dining associated wit the kiosk/café premises.
h)
The Lessee and kiosk/café activities are independent of and have no rights on the activities and operations associated with the remainder of The RISE facility.
i)
The hours of operation of the kiosk/café are encouraged to be at least the same as the hours of operation of The RISE facility.
j)
The Lessee is encouraged to provide a wide diversity of food and beverage services.
k)
The Lessee is permitted to supply or sell liquor, subject to the liquor being consumed with food at the kiosk/café, compliance with the Liquor Control Act and the necessary liquor licence is obtained from the Department of Racing, Gaming and Liquor.
l)
The Lessee is to pay all outgoings and all rates, taxes and charges.
m)
The Lessee, at its expense, is to have all relevant insurances, including public liability insurance, building insurance (which is to be arranged by the City) and insurance to cover the Lessee's fixtures, fittings, equipment and stock.
n)
The Lease is based on the premises and the fixtures, fittings and equipment provided in the premises as at the commencement date. Any such fixtures, fittings and equipment removed are to be returned to the City. Should the Lessee wishes to install any other fixtures, fittings and equipment, this requires the prior written consent of the City and all associated costs are to be met by the Lessee.

The Lessee is responsible for the maintenance, replacement, and repair and cleaning of the premises, including all of the City's and Lessee's fixtures, fittings, equipment and grease trap (proportionally), so that the Premises are clean, tidy and in good repair. 11 of 21

The Lessee is not permitted to make any alteration, addition or improvement to or demolish any part of the premises without the prior written consent of the City.
q)
Prior to termination of the lease, the Lessee at its expense is to restore the Premises, including the reinstatement of any removed fixtures, fittings and equipment provided as at the commencement date, to a condition consistent with the performance of the Lessee of its obligations under the lease and reasonable wear and tear.
r)
Prior to termination of the lease, the Lessee is to remove from the premises all property of the Lessee, including signs, fixtures, fittings, plant, equipment and other articles (other than air-conditioning, plant and fire equipment, security alarms and systems and other fixtures and fittings which in the opinion of the City form an integral part of the premises), and promptly make good any damage caused by the removal.

The Lessee is not permitted to hire, assign, sub-let or dispose of the premises without the prior written consent of the City.
t)
The Lessee is to ensure the premises, including the City's and Lessee's fixtures, fittings and equipment, are appropriately secured at all times. The Lessee may install a security system to the premises subject to the prior written consent of the City, and the Lessee paying all costs associated with the installation and ongoing monitoring, and providing the City with access keys and alarm codes.
u)
The Lessee is responsible to comply with all statutes, obligations and notices, including obtaining and maintaining all approvals required for the use of the premises for the permitted purpose.

Granting of the lease will be subject to obtaining all necessary permits and licences to use the Premises for a kiosk/café.
