The tender is invited in three-cover system from the registered and eligible firms through e-procurement portal of Government of Kerala (https://www.etenders.kerala.gov.in). Prospective bidders willing to participate in this tender shall necessarily register themselves with above mentioned e-procurement portal. The tender timeline is available in the critical date section of this tender published in www.etenders.kerala.gov.in Online Bidder registration process Bidders should have a Class II or above Digital Signature Certificate (DSC) to be procured from any Registration Authorities (RA) under the Certifying Agency of India. Details of RAs will be available on www.cca.gov.in. Once, the DSC is obtained, bidders have to register on www.etenders.kerala.gov.in website for participating in this tender. Website registration is a one-time process without any registration fees. However, bidders have to procure DSC at their own cost. Bidders may contact e-Procurement support desk of Kerala State IT Mission over telephone at 0471-257 7088, 257 7188, 257 7388 or 0484–233 6006, 233 2262 and through email: [email protected] for assistance in this regard. 2.1 Online Tender Process: The tender process shall consist of the following stages: a) Downloading of tender document: Tender document will be available for free download on www.etenders.kerala.gov.in. However, tender document fees shall be payable at the time of bid submission as stipulated in this tender document b) Pre-bid meeting: On 19th June 2017 c) Publishing of Corrigendum: All corrigenda shall be published on 20th June 2017 at www.etenders.kerala.gov.in and shall not be available elsewhere d) Bid submission: Bidders have to submit their bids along with supporting documents to support their eligibility, as required in this tender document on 12th July 2017 at www.etenders.kerala.gov.in. No manual submission of bid is allowed and manual bids shall not be accepted under any circumstances e) Prequalification evaluation will be done based on the document submitted at the site and the bidders are requested to ensure submission of all required documents that are required as part of Pre Qualification evaluation f) Opening of Technical Bid and Bidder short-listing: The technical bids will be opened, evaluated and shortlisted as per the eligibility and technical qualifications. All documents in support of technical qualifications shall be submitted (online). Failure to submit the documents online will attract disqualification. Bids shortlisted by this process will be taken up for opening the financial bid. g) Opening of Financial Bids: Bids of the qualified bidders shall only be considered for opening and evaluation of the financial bid on the date and time mentioned in Data sheet section Kerala State IT Infrastructure Limited Page 8 of 77 RFP – Seeking End-to-End solution and support for Skill Development Platform of Kerala (SDPK ) 2.2 Documents Comprising Bid: This RFP follows the 3 cover tender systems comprising of Pre-Qualification, Technical cover and Financial cover and the details the given in this section. 2.3 The First Stage (Pre-Qualification) Pre-Qualification shall contain the scanned copies of the following documents, which every bidder has to upload: i. Form 1: Compliance Sheet for Pre-qualification Proposal ii. Form 2: Particulars of the Bidder iii. Form 3: Power Of Attorney The department does not take any responsibility for any technical snag or failure that has taken place during document upload. 2.4 The Second Stage (or Technical Cover) i. Form 13: Manufacturers Authorization Form 2.5 The Third Stage (or Financial Cover) The Bidder shall complete the Price bid as per format given for download along with this tender. i. Form 1: Covering Letter ii. Form 2: Financial Proposal Note: The blank price bid should be downloaded and saved on bidder’s computer without changing file-name, otherwise price bid will not get uploaded. The bidder should fill in the details in the same file and upload the same back to the website. Fixed price: Prices quoted by the Bidder shall be fixed during the bidder's performance of the contract and not subject to variation on any account. A bid submitted with an adjustable/variable price quotation will be treated as non - responsive and rejected. Kerala State IT Infrastructure Limited Page 9 of 77 RFP – Seeking End-to-End solution and support for Skill Development Platform of Kerala (SDPK ) 3 Tender Document Fees and Earnest Money Deposit (EMD) The Bidder shall pay, a tender document fees of Rs. 15000+ VAT and Earnest Money Deposit or Bid Security of Rs. 5 Lakhs (Five Lakh rupees only) The Bid security is required to protect the purchaser against risk of Bidder’s conduct, which would warrant the forfeiture of security. Online Payment modes: The tender document fees and EMD can be paid in the following manner through e-Payment facility provided by the e-Procurement system State Bank of India (SBI) Internet Banking: If a bidder has a SBI internet banking account, then, during the online bid submission process, bidder shall select SBI option and then select Internet banking option. The e-Procurement system will re-direct the bidder to SBI‟s Internet banking page where the bidder can enter their Internet banking credentials and transfer amount related to the RFP. National Electronic Fund Transfer (NEFT)/ Real Time Gross Settlement (RTGS): If a bidder holds bank account in a different bank, then, during the online bid submission process, bidder shall select NEFT / RTGS option. An online remittance form would be generated, which the bidder can use for transferring amount through NEFT / RTGS either by using Internet banking of his bank or visiting nearest branch of his bank. After obtaining the successful transaction receipt no., the bidder has to update the same in e-Procurement system for completing the process of bid submission. Bidder should only use the details given in the Remittance form for making a NEFT / RTGS payment otherwise payment would result in failure in e-Procurement system. As NEFT payment status confirmation is not received by e-Procurement system on a real-time basis, bidders are advised to exercise NEFT mode of payment option at least 48 hours prior to the last date and time of bid submission to avoid any payment issues. For RTGS the timings that the banks follow may vary depending on the customer timings of the bank branches and settlement from RBI. Bidders are advised to exercise RTGS mode of payment at least 24 hours prior to the last date and time of bid submission to avoid any payment issues. NEFT / RTGS payment should be done according to following guidelines: Single transaction for remitting Tender document fee and EMD: Bidder should ensure that tender document fees and EMD are remitted as one single transaction. Account number as per Remittance Form only: Account details entered during NEFT/RTGS remittance at any bank counter or during adding beneficiary account in Internet banking site should be the same as it appears in the remittance form generated for that particular bid by the e-Procurement system. Bidder should ensure that tender document fees and EMD are remitted only to the account number given in the Remittance form provided by eProcurement system for that particular tender. Kerala State IT Infrastructure Limited Page 10 of 77 RFP – Seeking End-to-End solution and support for Skill Development Platform of Kerala (SDPK ) Bidders must ensure that the banker inputs the Account Number (which is case sensitive) as displayed in the Remittance form. No additional information like bidder name, company name, etc. should be entered in the account no. column along with account no. for NEFT / RTGS remittance. Only NEFT / RTGS Remittance Allowed: Only NEFT / RTGS modes of payments are only allowed in the e-Tendering system. Any other modes of payments are not allowed and treat them as invalid mode of payments. Bidder must ensure that the banker does NEFT or RTGS (for above 2 lakhs payments as per RBI guidelines) transaction only and specially instruct the banks not to convert the payment type to GRPT or any other payment mode. Amount as per Remittance form: Bidder should ensure that the amount being remitted is neither less nor higher than the amount shown in remittance form. UTR Number: Bidders should ensure that the remittance confirmation received after NEFT / RTGS transfer should be updated as it is, in the e- Procurement system for tracking the payment. One Remittance Form per Bidder and per Bid: The remittance form provided by e-Procurement system shall be valid for that particular bidder and bid and should not be re-used for any other tender or bid or by any other bidder. Any transaction charges levied while using any of the above modes of online payment has to be borne by the bidder. The supplier/contractor's bid will be evaluated only if payment status against bidder is showing “Success” during bid opening. SUBMISSION PROCESS: For submission of bids, all interested bidders have to register online as explained above in this document. After registration, bidders shall submit their Technical bid and financial bid online on www.etenders.kerala.gov.in along with online payment of tender document fees and EMD . For detailed instructions on bid submission process, please visit www.etenders.kerala.gov.in and click “Bidders Manual Kit” link on the home page. It is necessary to click on “Freeze bid” link/ icon to complete the process of bid submission otherwise the bid will not get submitted online and the same shall not be available for viewing/ opening during bid opening process. Kerala State IT Infrastructure Limited Page 11 of 77 RFP – Seeking End-to-End solution and support for Skill Development Platform of Kerala (SDPK ) 4 Notice Inviting Request for Proposal No: KSITIL/MD/SDPK-1/17 Dated 07/06/2017 Request for Proposal (RFP) document for selection of RFP - System Integrator for providing end to end solution for Skill Development Platform of Kerala- SDPK Programme by Kerala State IT Infrastructure Ltd.,- (KSITIL), a Company of Department of Information Technology, Government of Kerala Managing Director, Kerala State IT Infrastructure Limited, under Department of Information Technology, Government of Kerala invites RFP for System Integrator for providing end-to-end solution and five year support for Skill Development Platform of Kerala- SDPK Programme through the e-procurement system of the Government of Kerala, as per details given below in this RFP. Sl. No. 1. RFP shall be accompanied with Earnest Money (EMD) of Rs 50,00,00/- (Rs. Five Lakhs only), deposited through the e-payment system in the e-procurement portal of the Government of Kerala, https://www.etenders.kerala.gov.in. A bid will not be considered, if not accompanied with EMD. Application for this RFP supported by prescribed annexure shall be submitted through the e-procurement portal of the Government of Kerala. The bid applications will be received till 16:00 hours on 12.07.2017. The bidders are advised to keep visiting the website of KSITIL (http://www.ksitil.org or www.etenders.kerala.gov.in ) from time to time (till the deadline for bid submission) for any updates in respect of the RFP document notice, if any. Failure to do so shall not absolve the applicant of his liabilities to submit the RFP document complete in all respect including updates thereof, if any. An incomplete application may be liable for rejection. The Managing Director, KSITIL reserves the right to verify the particulars furnished by the bidder independently. If any information furnished by the bidder is found incorrect at a later stage, he shall be debarred from tendering and taking up of any work in the KSITIL. The Managing Director, KSITIL reserves the right to reject any or all prospective applicants without assigning any reason and to restrict the list of pre-qualified firms to any number deemed suitable. Kerala State IT Infrastructure Limited Page 12 of 77 RFP – Seeking End-to-End solution and support for Skill Development Platform of Kerala (SDPK ) 5 Structure of the RFP This Request for Proposal (RFP) document for the project of System Integrator for providing end to end solution for Skill Development Platform of Kerala- (SDPK) Programme by KSITIL and support for five years & comprises of the following scope as given in this RFP. 5.1 Instructions on the Bid process for the purpose of responding to this RFP. Various instructions to the bidders are given in this RFP, which broadly includes: a. General instructions for bidding process b. Requirements for immersive virtual classroom solution – covering the functional and non functional requirements for the platform and for the Learning Management System (LMS). c. Bid evaluation process including the parameters for Pre-qualification, Technical evaluation and commercial evaluation to facilitate KSITIL in determining bidder’s suitability as the implementation partner d. Payment schedule e. Commercial bid f. Various forma that needs to be submitted as part of the RFP response. 5.2 Functional and Technical Requirements of the project. The contents of the document broadly cover the following areas: a. About the project and its objectives b. Scope of work for the Implementation Partner c. Functional and Technical requirements d. Project Schedule e. Service levels for the implementation partner The bidder is expected to respond to the requirements as completely and in as much relevant detail as possible, and focus on demonstrating bidder’s suitability to become the implementation partner of KSITIL with reference to the Master Service Agreement (MSA), Service Level Agreement (SLA) and Non Disclosure Agreement (NDA). The bidders are expected to examine all instructions, forms, terms, Project requirements and other information in the RFP documents. Failure to furnish all information required as mentioned in the RFP documents or submission of a proposal not substantially responsive to the RFP documents in every respect will be at the Bidder's risk and may result in rejection of the proposal. 6 Background information & project profile Obtaining relevant employability skills has become an equally important requirement for the current generation students who aspire for their careers in a highly competitive industry environment. While Kerala has been a pioneer in e-Governance and providing quality education to students, lack of employability skills has been a focus area for students studying in engineering colleges in the state. In an attempt to bridge the employability gaps and to produce skilled workforce for the growing needs of industry, Govt. of Kerala has requested ICT Academy to design a technology enabled, Industry supported Skills Delivery Platform that will have the reach and quality, to the engineering students in Kerala. Through the platform, a targeted and long-term skill development Kerala State IT Infrastructure Limited Page 13 of 77 RFP – Seeking End-to-End solution and support for Skill Development Platform of Kerala (SDPK ) programme aligning to industry alignment and high quality is to be delivered to the Engineering colleges in the state. 7 Objectives of SDPK Major objectives of the SDPK programme are: • • • • • 8 Create State-of-the-art Technology enabled Learning platform that will enable remote delivery of high quality skills programme – the platform to be enabled through dedicated network backbone, Immersive Virtual Class room and Learning Management system Deploy the immersive virtual learning solution connecting 150 Hi-Tech classrooms in the Engineering colleges of Kerala Use the platform to deliver Skills training to around 50,000 students every year Deliver formal skills delivery programme through Minor degree programme of Kerala Technical University Effective skill management facility with skills database and students profile, that would be accessible for Industry for their graduate recruitment programme, there by increasing the employability of students from Kerala Scope of work: The selected bidder has to supply, install, commission, maintain and support the operations of the immersive virtual class room infrastructure with Learning Management System including all related accessories at various Engineering Colleges & Three studio at the locations identified by KSITIL for five years, which should enable highly interactive video, voice communication and content sharing, through which an instructor sitting at a remote studio can teach / train / instruct students sitting in 150 Engineering Colleges. Following are the major activities to be performed by the bidder for implementing virtual classrooms as part of this project. • To supply of the hardware and software as per the RFP, solution design and commission, install, configure and maintain an Immersive Virtual classroom solution along with Learning Management System to create virtual Class Room Infrastructure at various Engineering colleges identified by the University for five years. The list of affiliated colleges given in the university website ( https://ktu.edu.in ) the and studio locations where Virtual classroom equipment and related accessories is to be installed is enclosed in this RFP. • The vendor has to install the Central Control Unit at SDC and install video-conference equipment, camera, mic, displays and audio devices at all engineering colleges and studio locations. • The Vendor should supply, install, support and maintain the Learning Management System on regular basis. • Provide perpetual licenses by which user can directly login to Virtual Classroom sessions using their desktop/ laptop/ mobile and third party Endpoints (with H323/SIP protocols or WebRTC) to connect to the SDPK system , with pre-defined session credentials. • The bidder shall offer training to the on-site staff for operation of the equipment, and ongoing management and maintenance of the proposed solution and all the training contents should be available through LMS module as well. Solution should enable the trainer and participants from all locations, to interactively raise and answer questions iii. Govt intends to make multiple studios enabling multiple training sessions simultaneously or single training session from any such trainer locations. iv. The studios are planned to be at Industrial zones, to enable industry interaction with the participating Engineering colleges. Based on the reference architecture of a Typical Immersive virtual classroom solution, the following has been proposed as one of the technical solution options. An indicative component diagram for the SDPK solution is given below for reference. Figure 1 : Component diagram of SDPK Studios: These are Locations from where live skills training programme are conducted. These are planned to be located in industrial zones with an average of 300 sq. ft. area (with 240 sq. ft. of studio area and approximately 60 sq. ft. for local control area). Studios will contain capture devices (High-resolution tilt cameras, Hi-Fed wireless/wired microphones), displays (Hi-Def displays), Content sharing devices (Laptops, Electronic writing boards), and civil infrastructure that are sound-proof, with adequate lighting controls and with matching colors and decorations Main Control Centre: Main Control Centre is the heart of the Immersive virtual classroom system and is used for scheduling live sessions, bridge multiple studios and classrooms, conduct live classes, manipulation of media (such as transcoding), enable remote control of the immersive virtual classroom infrastructure (such as video/audio mute), enable chat and other asynchronous tools for communicating between nodes. Classrooms: These are Locations from where live skills training programme are received. These are planned to be located in selected educational institutes with an average of 1200 sq. ft. area and with 75 seats for participants. The main electronic components and its high level configuration is depicted below Capture Camera: Wall mountable dual cameras with USB interface; the camera should to able to capture high quality video of the participants. The output video should be up to 1920x1080 (wide screen HD). It should have the capability to track the participants based on manual trigger (switching on the microphone) and automatic triggers (based on voice). Video displays: 80’ or above sized LED Interactive display to produce full HD videos and Hi-Def Audio output. Room security Unit (out of scope for the project): Dual channel DVR unit and Surveillance Camera (2MP wall mountable camera, Full HD capture, IP66 protocol based, 12v dc based) that will have auto-recording feature based on movement in the classroom. The room security units will be used to monitor the internal security of the classrooms appliance. This system along with room controls will be locally deployed and maintained by the respective institutions, and shall not be in the scope of the implementation of the project Immersive Studio Configuration The studio configuration has a lot of similar equipment, but with smaller configurations. The bidder's participation in this process may result in KSITIL selecting the bidder to engage towards execution of the contract a. 15.5.2 RFP Document Fees Please Refer General Conditions of e-Procurement given in this RFP 15.5.3 Earnest Money Deposit (EMD) 1. Online Submission of EMD: Please Refer General Conditions of e-Procurement 2. EMD of all unsuccessful bidders would be refunded by KSITIL within 30 days of the bidder being notified as being unsuccessful. The EMD, for the amount mentioned above, of successful bidder would be returned upon submission of Performance Bank Guarantee. 3. The EMD amount is interest free and will be refundable to the unsuccessful bidders without any accrued interest on it 4. The bid / proposal submitted without EMD, mentioned above, will be summarily rejected 5. The EMD may be forfeited: a. If a bidder withdraws its bid during the period of bid validity b. In case of a successful bidder, if the bidder fails to sign the contract in accordance with this RFP 15.6 Submission of Proposals a) The bidders should submit their responses as per the format given in this RFP in the following manner online as prescribed in General Conditions of e-Procurement b) Please Note that Prices should not be indicated in the Pre-Qualification Proposal or TechnicalProposal but should only be indicated in the Commercial /Financial Proposal 15.7 Authentication of Bids A Proposal should be accompanied by a power-of-attorney in the name of the signatory of the Proposer 15.8 Preparation and Submission of Proposal 15.8.1 Proposal Preparation Costs The bidder shall be responsible for all costs incurred in connection with participation in the RFP process, including, but not limited to, costs incurred in conduct of informative and other diligence activities, participation in meetings/discussions/presentations, preparation of proposal, in providing any additional information required by KSITIL to facilitate the evaluation process, and in negotiating a definitive contract or all such activities related to the bid process. KSITIL will in no case be responsible or liable for those costs, regardless of the conduct or outcome of the bidding process. 15.9 Language The Bidder should fill the Proposal in English. If any supporting documents submitted are in any language other than English, translation of the same in English language is to be duly attested by the Bidders. For purposes of interpretation of the Proposal, the English translation shall govern. 15.10 Venue & Deadline for Submission of Proposals Kerala State IT Infrastructure Limited Page 44 of 77 RFP – Seeking End-to-End solution and support for Skill Development Platform of Kerala (SDPK ) Proposals, in its complete form in all respects as specified in the RFP, must be submitted on l ine 15.11 Late Bids Bids received after the due date and the specified time (including the extended period if any) for any reason whatsoever, will be summarily rejected. The bids submitted by telex/telegram/fax/e-mail etc. shall not be considered. No correspondence will be entertained on this matter. KSITIL shall not be responsible for any delay. No further correspondence on the subject will be entertained. KSITIL reserves the right to modify and amend any of the above-stipulated condition / criterion depending upon project priorities. 15.12 Evaluation Process a. KSITIL will constitute a Bid/Proposal Evaluation Committee to evaluate the responses of the bidders b. The Bid/Proposal Evaluation Committee constituted by the KSITIL shall evaluate the responses to the RFP and all supporting documents / documentary evidence. Inability to submit requisite supporting documents / documentary evidence, may lead to rejection c. The decision of the Bid/Proposal Evaluation Committee in the evaluation of responses to the RFP shall be final. No correspondence will be entertained outside the process of negotiation/ discussion with the Committee d. The Bid/Proposal Evaluation Committee may ask for meetings with the Bidders to seek clarifications on their proposals e. The Bid/Proposal Evaluation Committee reserves the right to reject any or all proposals on the basis of any deviations. f. Each of the responses shall be evaluated as per the criterions and requirements specified in this RFP 15.13 Tender Opening Various dates related to the tender submission and opening are as given in the tender form and it will be opened by Nodal officer as mentioned in the Notice Inviting Tender Column or any other officer authorized by KSITIL, in the presence of such of those Bidders or their representatives who may be present at the time of opening. The representatives of the bidders should be advised to carry the identity card or a letter of authority from the tendering firms to identify their bonafide for attending the opening of the proposal 15.14 Tender Validity The offer submitted by the Bidders should be valid for minimum period of 180 days from the date of opening of the financial bid. 15.15 Tender Evaluation a. Initial Bid scrutiny will be held and incomplete details as given below will be treated as non- responsive, if Proposals : i. Are not submitted in as specified in the RFP document ii. Received without the Letter of Authorization (Power of Attorney) iii. Any conditional bid would be rejected 17.3 Appointment of Systems Implementation Agency/Partner 17.3.1 Award Criteria KSITIL will award the Contract to the successful bidder whose proposal has been determined to be substantially responsive and has been determined as the most responsive bids as per the process outlined above. 17.4 Right to Accept Any Proposal and To Reject Any or All Proposal(s) KSITIL reserves the right to accept or reject any proposal, and to annul the tendering process / Public procurement process and reject all proposals at any time prior to award of contract, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidder or bidders of the grounds for KSITIL action. [ 17.5 Notification of Award Prior to the expiration of the validity period, KSITIL will notify the successful bidder in writing or by fax or email, that its proposal has been accepted. In case the tendering process / public procurement process has not been completed within the stipulated period, KSITIL, may like to request the bidders to extend the validity period of the bid. The notification of award will constitute the formation of the contract. Upon the successful bidder's furnishing of Performance Bank Guarantee, KSITIL will notify each unsuccessful bidder and return their EMD 17.6 Contract Finalization and Award The KSITIL shall reserve the right to negotiate with the bidder(s) whose proposal has been ranked best value bid on the basis of Technical and Commercial Evaluation to the proposed Project, as per the guidance provided by CVC. On this basis, the draft contract agreement would be finalized for award & signing. KSITIL shall issue purchase order to the successful bidder with the final list of items after executing the contract. 17.7 Performance Guarantee The KSITIL will require the selected bidder to provide a Performance Bank Guarantee, within 15 days from the Notification of award, for a value equivalent to 10% of the total cost of contract. The Performance Guarantee should be valid for a period of 66 months or the contract duration whichever is longer. The Performance Guarantee shall be kept valid till 3 months after the completion of the project and Warranty period. The Performance Guarantee shall contain a claim period of three months from the last date of validity. The selected bidder shall be responsible for extending the validity date and claim period of Kerala State IT Infrastructure Limited Page 52 of 77 RFP – Seeking End-to-End solution and support for Skill Development Platform of Kerala (SDPK ) the Performance Guarantee as and when it is due on account of non-completion of the project and Warranty period. In case the selected bidder fails to submit performance guarantee within the time stipulated, the KSITIL at its discretion may cancel the order placed on the selected bidder without giving any notice. KSITIL shall invoke the performance guarantee in case the selected Vendor fails to discharge their contractual obligations during the period or KSITIL incurs any loss due to Vendor’s negligence in carrying out the project implementation as per the agreed terms & conditions. 17.8 Signing of Contract After the KSITIL notifies the successful bidder that its proposal has been accepted, KSITIL shall enter into a contract, incorporating all clauses, pre-bid clarifications and the proposal of the bidder between KSITIL and the successful bidder. The Draft Legal Agreement is provided as a separate document as a template. 17.9 Failure to Agree with the Terms and Conditions of the RFP Failure of the successful bidder to agree with the Draft Legal Agreement and Terms & Conditions of the RFP shall constitute sufficient grounds for the annulment of the award, in which event KSITIL may award the contract to the next best value bidder or call for new proposals from the interested bidders. EMD of the successful bidder shall be retained in case if the bidder is unable to execute the agreement with specified terms and conditions in the RFP. 18 Scope of Work Please refer Scope of Work is as specified in this RFP. 19 Deliverables & Timelines 19.1 Project deliverable linked to project phase are as given below S. The Contract Agreement shall include the RFP document; copy of the Bank Guarantee for Performance Security; the minutes of the Pre-Bid meeting if any, all applicable letters exchanged between the successful bidder & the Managing Director, KSITIL, before the date of execution of the Contract, Scope of Work, Contract Fee, Payment Schedule, Project Time Schedule, and other clauses like Indemnity Clause, Provisions for Modification of Contract; Termination of Contract; Confidentiality; Obligations and Liability of the Parties; Settlement of Disputes; Liquidated Damages; Representations, Warranties and Disclaimer; Force Majeure; Severability; Survival Clauses etc. The Contract will be executed within 30 days from the date of issue of Letter of Intent (LOI). If the successful bidder fails to execute the contract within 30 days from the day of issue of Letter of Intent for any reason whatsoever, the successful bidder will be liable to compensate the Managing Director, KSITIL, with liquidated damages equivalent to 10% of the total estimated fee of the current assignment payable under the present agreement. It is hereby clarified that the LOI shall be issued only after all mandatory clearance at the Government of Kerala level and penalty shall be applicable only in case of delay solely due to the actions of the successful bidder. 21 Acceptance Testing and Certification The PMU team of SDPK identified by KSITIL will do testing of the installed solution and submit their report the IT Department, later on after through verification of the submitted document and physical inspection of the committee will approve with satisfactory implementation certificate. If bidder is a lead partner of a Consortium / System Integration (SI), the Lead Consortium partner is required to work with third party component / equipment manufacturer in meeting all the requirements of the RFP. In such cases, the lead Consortium partner / SI partner will need to submit a detailed work plan (as an addendum to Form 8 in the RFP document) including the partner component deliverables and activities. The Lead partner will be accountable for the endto-end delivery and warranty support of the programme and should comply with all the financial bid criteria mentioned in the RFP document. 24 Fraud and Corrupt Practices The Bidder/Bidders and their respective officers, employees, agents and advisers shall observe the highest standard of ethics during the Selection Process. Notwithstanding anything to the contrary contained in this RFP, the KSITIL shall reject a Proposal without being liable in any manner whatsoever to the Bidder, if it determines that the Bidder has, directly or indirectly or through an agent, engaged in corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice (collectively the “Prohibited Practices”) in the Selection Process. In such an event, the KSITIL shall, without prejudice to its any other rights or remedies, forfeit and appropriate the Bid Security or Performance Security, as the case may be, as mutually agreed genuine pre-estimated compensation and damages payable to the Authority for, inter alia, time, cost and effort of the Authority, in regard to the RFP, including consideration and evaluation of such Bidder’s Proposal. Without prejudice to the rights of the KSITIL under Clause above and the rights and remedies which the KSITIL may have under the LOI or the Agreement, if an Bidder or Systems Implementation Agency, as the case may be, is found by the Authority to have directly or indirectly or through an agent, engaged or indulged in any corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice during the Selection Process, or after the issue of the LOI or the execution of the Agreement, such Bidder or Systems Implementation Agency shall not be eligible to participate in any tender or RFP issued by the KSITIL during a period of 5 (five) years from the date such Bidder or Systems Implementation Agency, as the case may be, is found by the KSITIL to have directly or through an agent, Kerala State IT Infrastructure Limited Page 55 of 77 RFP – Seeking End-to-End solution and support for Skill Development Platform of Kerala (SDPK ) engaged or indulged in any corrupt practice, fraudulent practice, coercive practice, undesirable practice or restrictive practice, as the case may be. For the purposes of this Section, the following terms shall have the meaning hereinafter respectively assigned to them: “corrupt practice” means (i) the offering, giving, receiving, or soliciting, directly or indirectly, of anything of value to influence the action of any person connected with the Selection Process (for avoidance of doubt, offering of employment to or employing or engaging in any manner whatsoever, directly or indirectly, any official of the KSITIL who is or has been associated in any manner, directly or indirectly with the Selection Process or the LOI or has dealt with matters concerning the Agreement or arising there from, before or after the execution thereof, at any time prior to the expiry of one year from the date such official resigns or retires from or otherwise ceases to be in the service of the KSITIL shall be deemed to constitute influencing the actions of a person connected with the Selection Process); or (ii) save as provided herein, engaging in any manner whatsoever, whether during the Selection Process or after the issue of the LOA or after the execution of the Agreement, as the case may be, any person in respect of any matter relating to the Project or the LOA or the Agreement, who at any time has been or is a legal, financial or technical consultant/ adviser of the KSITIL in relation to any matter concerning the Project; “Fraudulent practice” means a misrepresentation or omission of facts or disclosure of incomplete facts, in order to influence the Selection Process; “Coercive practice” means impairing or harming or threatening to impair or harm, directly or indirectly, any persons or property to influence any person’s participation or action in the Selection Process; “undesirable practice” means (i) establishing contact with any person connected with or employed or engaged by KSITIL with the objective of canvassing, lobbying or in any manner influencing or attempting to influence the Selection Process; or (ii) having a Conflict of Interest; and “Restrictive practice” means forming a cartel or arriving at any understanding or arrangement among Bidders with the objective of restricting or manipulating a full and fair competition in the Selection Process. 25 Exit Management In the process of the Exit Management, vendor has to adhere to the standard Knowledge transfer and exit management procedures at the end of the exit of the contract term. 26 Conflict of Interest A bidder shall not have a conflict of interest that may affect the Selection Process or the Solution delivery (the “Conflict of Interest”). Any Bidder found to have a Conflict of Interest shall be disqualified. In the event of disqualification, the KSITIL shall forfeit and appropriate the EMD, if available, as mutually agreed genuine pre-estimated compensation and damages payable to the KSITIL for, inter alia, the time, cost and effort of the KSITIL including consideration of such Bidder’s Proposal, without prejudice to any other right or remedy that may be available to the KSITIL hereunder or otherwise. The KSITIL requires that Kerala State IT Infrastructure Limited Page 56 of 77 RFP – Seeking End-to-End solution and support for Skill Development Platform of Kerala (SDPK ) the Implementation Agency provides solutions which at all times hold the KSITIL’s interests paramount, avoid conflicts with other assignments or its own interests, and act without any consideration for future work. The Systems Implementation Agency shall not accept or engage in any assignment that would be in conflict with its prior or current obligations to other clients, or that may place it in a position of not being able to carry out the assignment in the best interests of the KSITIL. Without limiting the generality of the above, a Bidder shall be deemed to have a Conflict of Interest affecting the Selection Process, if: i. the Bidder, its consortium member (the “Member”) or Associates (or any constituent thereof) and any other Bidder, its consortium member or Associate (or any constituent thereof) have common controlling shareholders or other ownership interest; provided that this disqualification shall not apply in cases where the direct or indirect shareholding or ownership interest of an Bidder, its Member or Associate (or any shareholder thereof having a shareholding of more than 5 per cent of the paid up and subscribed share capital of such Bidder, Member or Associate, as the case may be) in the other Bidder, its consortium member or Associate is less than 5% (five per cent) of the subscribed and paid up equity share capital thereof. For the purposes of this Clause, indirect shareholding held through one or more where any intermediary intermediate persons shall be computed as follows:− controlled by a person through management control or otherwise, the entire shareholding held by such controlled intermediary in any other person (the “Subject Person”) shall be taken into account for computing the shareholding of such controlling person in the Subject Person; where a person does not exercise control over an intermediary, which has shareholding in the Subject Person, the computation of indirect shareholding of such person in the Subject Person shall be undertaken on a proportionate basis; provided, however, that no such shareholding shall be reckoned under this Sub-clause if the shareholding of such person in the intermediary is less than 26% (twenty six per cent) of the subscribed and paid up equity shareholding of such intermediary; or ii. a constituent of such Bidder is also a constituent of another Bidder; or iii. such Bidder or its Associate receives or has received any direct or indirect subsidy or grant from any other Bidder or its Associate; or iv. such Bidder has the same legal representative for purposes of this Application as any other Bidder; or v. such Bidder has a relationship with another Bidder, directly or through common third parties, that puts them in a position to have access to each other’s’ information about, or to influence the Application of either or each of the other Bidder; or vi. there is a conflict among this and other Systems Implementation/Turnkey solution assignments of the Bidder (including its personnel and other members, if any) and any subsidiaries or entities controlled by such Bidder or having common controlling shareholders. The duties of the Systems Implementation Agency will depend on the circumstances of each case. An Bidder eventually appointed to implement software / hardware solutions for this Project, its Associates, affiliates and the Financial Expert, shall be disqualified from subsequently providing goods or works or services related to the construction and operation of the same Project and any breach of this obligation shall be construed as Conflict of Interest; provided that the restriction herein shall not apply after a period of 12 months from the completion of this assignment; provided further that this restriction shall not apply to software solutions delivered to the KSITIL in continuation of this systems implementation or to any subsequent systems implementation executed for the KSITIL in accordance with the rules of the KSITIL.
