Marina Division History of properties Park Marina was established in 1952 with the opening of Lake Allatoona. Doug Traina of T.E.I. industries purchased Park Marina in 1981. At that time, Park Marina had 100 slips and rent collection was just under$100,000.Mr. Traina along with two additional employees operated the facility. Through Mr. Traina’s vision of continuous growth and improvement, Park Marina has now grown to 733 wet slips and has a full-time staff of over twenty employees. Wilderness Camp Marina, originally built by the Corps of Engineers in the late 1950’s as a campground facility less than one mile by water from Park Marina, was purchased in February 1994 by Mr. Traina.Since 1994, Wilderness Camp has increased from 166 wet slips to 184, with plenty of room left for future expansion.Close proximity to Park Marina allows leverage of Management, Clerical, and Maintenance staff such that Wilderness Camp is run efficiently with just one dedicated employee. Fourwinds Resort and Marina was established in 1971 as a small marina in Bloomington, Indiana.In June of 1972, the hotel was opened and the facility has experienced continuous operation and expansion since that time.The property was purchased from its builder in 1973 by AIRCOA, a large hospitality investment company.Through a succession of acquisitions by larger and larger companies, the facility continued under the same absentee ownership until 2001. In August of 2001, the facility was purchased by Doug Traina, of T.E.I. and has benefited greatly by TEI’s active ownership.During its ownership,TEI invested 9 million dollars in an aggressive expansion and improvement campaign to refurbish the marina, renovate the common areas of the hotel, improve the restaurants and bar, re-structure the grounds, and to create a rental business. Future plans include the continued expansion of the Marina and Rental fleet. TEI also plans for the complete renovation of all hotel rooms. Victoria Harbour was purchased in October 1988 as a 50-50 partnership between Doug Traina, operating in the capacity of Consultant, and long-time friend David Barrett, the working partner. Victoria Harbour has undertaken aggressive growth in the past decade with the construction of new wet slips and dry storage. The partnership flourished, and in 1990 expanded with the acquisition of Harbour Town Marina.A smaller facility located less than a mile by water from Victoria, Harbour Town, has grown at a slower pace than Victoria but has tremendous potential for future growth.In fall of 2009, the partnership was dissolved with T.E.I. acquiring all interests in both marinas. In September, 2006, T.E.I. purchased Lan-Mar Marina on Lake Lanier in Gainesville GA.T.E.I. re-named the marina Port Royale.Thus far, this has been the largest investment for the company, and has added over 1,000 wet and dry slips to the roster, in addition to adding the popular Atlanta area lake location. This brought the company’s total for boat storage to over 4000 units, with the expansion potential to more than double to over 8000 units.Boat rental, sales, and service operations were quickly established at Port Royale, and a new Gas Island was constructed which has grown into the largest floating Boating Center on Lake Lanier.With this addition, Paradise Boat Rentals is now the largest rental operation in the Southeast.Port Royale Marina has become truly a full-service facility, providing the best marina experience on Lake Lanier to over 1,000 storage customers.The addition of Port Royale brought boat sales to five locations and rentals to three locations with over 180 boats in the combined rental fleet. Our new bar & grill, Pelican Pete’s, opened in May 2010 as part of the floating Boating Center and has been so successful that we intend to expand this business model into several other marina locations. Boat Sales Division In 1995, T.E.I. boat sales involvement consisted of a sales office leased to JOA, Inc. at the company’s marina location on Lake Allatoona. T.E.I. concluded that selling certain boat types, namely aluminum pontoons and smaller performance fiberglass boats, would help fill vacant slips at the marina. JOA chose not to carry those lines. T.E.I. made the decision to carry the lines JOA would not and hence, the Park Marine boat sales was developed. Initial lines were Sylvan pontoons and Baja performance boats. The philosophy of filling empty slips worked very well. The ability for a customer to buy a boat, have on-site service and warranty, and store their boat in a wet slip all with the same Company proved to be a very successful formula for T.E.I. Through billboard land purchases of T.E.I.’s Outdoor Media Group, an ideal piece of property for a Boat Dealership was acquired in 1997 in the metro Atlanta area. A building was completed there in 1998 and christened Park Marine Boating Center, complete with a large indoor show-room, Ship’s Store, state of the art service facilities, and offices for not only boat sales but T.E.I. corporate headquarters and OMG (Outdoor Media Group). Boat Sales continued to grow and expand, not only in sales volume but also real estate. In March of 2000, Park Marine established a Lake Lanier location in Gainesville through the asset purchase of Gainesville Boating Center. Further expansion of assets and boat lines was accomplished through the purchase of Rocket Marine (Marietta) in May 2001 and Browns Bridge Marine (Gainesville) in December 2001. Park Marine Boating Centers now operate from five specific locations – the Kennesaw headquarters, Gainesville Boating Center, and lake locations at Park Marina, Port Royale and FourWinds Resort. T.E.I.‘s Purchase of property adjacent to its Kennesaw and Gainesville locations have provided real estate for future growth opportunities within the company. T.E.I. concluded that volume is the key to Boat Sales profitability. Through acquisition of competitors, we’ve established ourselves with the #1 volume lines in the world: • • •

Boat Rentals Division Our Boat Rentals division began in the early 1980’s with the acquisition of three boats, and a business plan of renting boats to cover fuel dock overhead. Three boats led to four, which led to seven, then nine, and ultimately to the realization that renting boats could be a significantly profitable enterprise. In the mid-1990s, T.E.I. aggressively pursued the boat rental business and built its first floating store and custom state-of-the-art covered dock to house some thirty rental units. Sales were in excess of $250,000. In 2001, the acquisition of the FourWinds Resort was made and a second floating store with state-of-the-art dock was constructed. Custom software was developed, allowing many employees to make accurate reservations simultaneously. Continued fleet expansion and marketing efforts grew sales to over $1.1mm collectively for boat rental in 2005. In September, 2006, we began building a rental fleet on Lake Lanier in conjunction with our purchase of Port Royale Marina. In Spring 2009 we opened our new floating ship store, and in May 2010 our new Rental Dock was completed, housing a fleet of over 50 boats. T.E.I. has completed a state of the art software package that allows for online booking in real time, along with a new website presence that further enhances the boat rental operation. Boat Service Division
The service division of T.E.I. was started in 1981. At that time it was a relatively small operation with only one or two employees. As T.E.I. grew through the 1980’s and 1990’s, the service division grew with it. T.E.I. developed high quality Service Centers as one of the key elements in their business model; the service division supports and enhances the success of the boat sales division, the boat rental division, and the marina division. Currently, the service division continues to expand with the growth of the company overall. The existing Service Centers are also continuously growing by adding employees and infrastructure to increase the services offered. T.E.I. now has five full Service Centers and plans to add two more by the end of 2011. Service has grown to almost fifty full time employees and annual revenues of around $4 million. The T.E.I. service division supports boat sales. When a new boat is sold service preps, rigs, and cleans the boat before delivery to a customer. Service is also responsible for selling accessories to new boat customers. Service handles all new boat repairs that can be taken care of under warranty. Boat Rentals is another division of T.E.I. that Service supports. When the new boat rental fleet arrives Service preps and rigs all the new rental boats. Service is also responsible for repairing and maintaining the over 200 vessel fleet. Holiday weekends are big business for Boat Rentals and that is when Service steps in to be sure that all the boats stay up and running. If a rental boat is out of service it is not generating any revenue so, it is vital to keep the whole fleet up and running at all times. Service, like our Boat Sales and Rental Division, supports our Marina Divisions as well. By offering a full Service Center at most of our marina locations, it provides convenient and quality service for our members. With the ability to provide routine maintenance all the way to a complete repower, Service can handle any need a customer might have in house. In the recent years, Service has added the ability to do fiberglass repair and welding. We have been awarded the Mercury CSI Award, the Yamaha White Diamond Dealer and 5-Star Award, and are certified under the U.S. Marine 5-Star program. Retail Division T.E.I.’s retail division started in 1981 when the company was founded. Retail sales works well in conjunction with boat sales, boat service, and boat rentals. T.E.I.’s retail division continues to grow at all of our locations with several locations having more than one retail store. The locations with two stores have one on the water as well as on land. Hospitality Division Currently T.E.I.’s hospitality division consists of the Fourwinds Hotel in Bloomington, Indiana. T.E.I. purchased the facility in August of 2001. During the nine years of ownership, TEI has invested 9 million dollars in an aggressive expansion and improvement campaign to refurbish the FourWinds. This included renovating the marina, renovating the common areas of the hotel, improving the restaurants and bar, re-structuring the grounds, and creating a rental boat business. T.E.I. has two other Marina locations approved by the U.S. Corps of engineers to build resorts. One of these is Victoria Harbour and the other at Port Royale. Food and Beverage With the opening of Pelican Pete’s Bar and Grill in May of 2010, T.E.I. now operates two full service restaurants. T.E.I. also leases two other restaurant locations one at Victoria Marina and the other at Wilderness Camp Marina The Windjammer restaurant and lounge was acquired by T.E.I with the acquisition of The FourWinds Resort and Hotel. T.E.I made some vast improvements to the restaurant as well as giving it a Caribbean twist. Pelican Pete’s Bar and Grill is a seasonal on the water restaurant located at Port Royale Marina in Gainesville, GA. Advertising & Real Estate Division T.E.I. Outdoor Media Group – OMG – began as a “fluke” in the summer of 1995 as T.E.I.’s owner, Doug Traina, was driving down I-75 and saw a billboard advertised for lease. When he called to inquire, Doug was shocked at the going rate for billboard advertising, so instead of leasing a billboard he pursued the idea of ownership. After much research, T.E.I. acquired Patriot Outdoor Advertising, a company in bankruptcy. The business philosophy of Patriot was actually sound and quite unique – to buy land, build the billboard structure, then sell the surrounding land and retain ownership of the “land site’ upon which the structure sits. In this manner, Patriot could manage to acquire billboard structures virtually free. This philosophy was time-consuming, costly in terms of real-estate investment required, and much more difficult than simply finding small land sites to lease and build structures (typical industry philosophy). Patriot found themselves owning too much land, with too little income, hence the bankruptcy. T.E.I. saw the value in this unique approach and had the capital resources necessary to perfect it. Patriot was acquired and OMG born, growing from the original 5 structures – 10 faces, to a total of 35 structures – 70 faces, in 1999. During an industry roll-up of that year, Outdoor Systems (now Viacom, a large outdoor advertising company with more traditional approach for acquiring structures) made an aggressive offer to purchase the assets of OMG, and T.E.I. accepted in October 1999. OMG’s investment in land and structures was $3 mm at that time, which was sold to Outdoor Systems for $5.5mm. Better yet, OMG retained the ground leases on 30 land sites for 40 years with annual revenues of $367,000 plus CPI increases of several points each year and now in excess of 500k this land income was the foundation for T.E.I. Real Estate Division. By early 2005 OMG had rebuilt its assets to 21 structures (44 faces for lease), and again executed a planned and very profitable sell-off strategy to Olympus Media. Once again, OMG retained all the billboard land sites and made ground leases with Olympus for 40 years with guaranteed annual revenue adding to the Real Estate Division. OMG’s key employee, Charles Dixon, was named Vice President of the division and made a full partner in 2000. T.E.I.’s mission for OMG is to continue growing the business, purchasing land and building structures. In 1995 T.E.I. began selling boats and in so doing helped to grow its slip rental business at a faster pace. The company concluded that the way to faster growth was through strategic planning of building and filling slips. This was done by
purchasing and then selling boats with the necessary slip requirements that go along with the sale. In 1998 T.E.I. had a piece of unsold land on Cobb pkwy in Kennesaw as a by product of a billboard deal. This piece of real estate turned out to be the perfect location for Park Marine Boating centers. Our second location was an existing boat dealership purchased in 2000 and two more boat dealerships were acquired to give T.E.I. the top boat lines in Atlanta. Adjacent properties to both locations were bought and held for future growth.
